Energy Dominates as Deals Hit $18.4B (The Best Week Since November)

The week ending Jan. 17 saw 19 deals reported to the CDT Roundup with a total value of more than $18.4 billion.

The week prior had 18 deals valued at nearly $9 billion, and there were 19 deals worth about $7.4 billion during the same week last year. But last week was the best week by value since an absurd 21-deal, $75 billion week in early November.

The big deal last week was Mitsubishi’s announcement that it is entering the U.S. shale business by acquiring Dallas-based Aethon’s natural gas operations in the Haynesville Shale. Nearly 40 lawyers advised on the $7.5 billion deal. The Lawbook has them listed with our daily coverage here.

Last week had a handful of energy deals, fundings for AI-based startups, a cybersecurity merger, and one transaction that has the U.S. government investing in a missile manufacturer.

Mitsubishi enters U.S. shale business with $7.5B acquisition of Aethon

Deal Description: Mitsubishi Corp. said on Jan. 16 that it has entered the U.S. shale gas business with the acquisition of specific assets from Dallas-based private investment firm Aethon Energy Management for about $7.5 billion, which includes $2.3 billion in debt. Talen Energy acquires two power plants in Ohio, one in Indiana for $3.5B

Deal Description: Houston energy infrastructure company Talen Energy said on Jan. 15 that it acquired two power generating plants in Ohio and one in Indiana from Summit, N.J.-based investment firm Energy Capital Partners for $2.55 billion cash and about $900 million in stock. Talen General Counsel John Wander worked with Kirkland & Ellis and White & Case on the deal. Milbank Tweed advised Energy Capital Partners on the transaction, which is expected to close early in the second half of 2026. L3Harris gets $1B investment for missile business from The Pentagon

Deal Description: L3Harris Technologies said on Jan. 13 that the U.S. government has agreed to invest in the company’s missile business through a $1 billion convertible preferred security issue that converts into common equity upon an initial public offering. Melbourne, Fla.-based L3Harris said it plans to pursue an IPO of its missile business in the second half of 2026.

OKC start-up gets $1B equity commitments from Kayne Anderson, Quantum Capital

Deal Description: South Wind Exploration & Production, an Oklahoma City oil and gas start-up, announced on Jan. 6 that it received an equity commitment of $500 million from both Houston investment manager Kayne Anderson and Houston private equity firm Quantum Capital Group. Kayne Anderson already committed $400 million to South Wind Exploration & Production, which was founded in April and focuses on acquiring and operating onshore oil and gas properties.

SkyFi gets $12.7 million in Series A funding

Deal Description: Austin AI start-up SkyFi said on Jan. 14 that it raised $12.7 million in Series A funding led by Chicago-based Buoyant Ventures and IronGate Capital Advisors, with participation from DNV Ventures, TFX Capital, Beyond Earth Ventures, Nova Threshold, Chris Morisoli, RSquared VC and J2 Ventures. SkyFi was founded in 2021 and calls itself “an AI-first Earth intelligence platform” with a network of more than 50 geospatial imagery partners that provide optical, synthetic aperture radar, hyperspectral, aerial imagery and data analytics. The company said its platform transforms the acquisition and analysis of complex satellite imagery. 

Silver Hill Energy buys 1776 Energy properties in Karnes, Gonzales Counties

Deal Description: Dallas private energy company Silver Hill Energy Partners said on Jan. 14 that it acquired all of the oil and gas properties in Karnes and Gonzales Counties east of San Antonio owned by 1776 Energy, a private oil and gas company based in Houston. Terms weren’t disclosed. Silver Hill said the acquisition includes about 17,500 acres and 550 locations in the Eagle Ford and Austin Chalk formations. Silver Hill funded the acquisition with equity from its Silver Hill Energy Partners IV fund, another Silver Hill-sponsored partnership, and a credit facility arranged and led by Wells Fargo Securities.

Purpose Legal acquires Hire Counsel

Deal Description: Purpose Legal, a Dallas-based specialized legal operations company, said on Jan. 15 that it has acquired Hire Counsel, a Chicago-based network of more than 70,000 attorneys who work to “scale rapidly while ensuring AI-driven workflows are applied with precision, confidentiality, and accountability for today’s most demanding legal matters.” Financial terms weren’t disclosed. Purpose Legal said the deal will build “a platform where human expertise and AI reinforce one another, not compete. The future of legal services is AI plus people, working in concert, at scale, with accountability built in. This combination sets a new standard for what a modern legal services provider can and should be,” according to the company. Purpose Legal is owned by Austin PE firm Blue Sage Capital. Hire Counsel is owned by New York private investment firm Long Point Capital.

Deal Description: Houston private equity firm Denham Capital announced on Jan. 15 a new partnership called Gray Oak Power that will focus on “enabling data center developers and owner-operators to accelerate U.S. data center site  deployment by delivering customized and reliable, on-site power solutions.” Terms weren’t disclosed. Gray Oak Power said it’s “a transformative moment for the data center industry … developers are securing land faster than utilities can deliver power.” Denham Capital said Gray Oak Power “enables data center developer partners to overcome multi-year grid-connection timelines and delays by bringing baseload power on-site and accelerating project deployment” by five-plus years.

Infoblox acquires AI-powered cybersecurity company Axur

Deal Description: Infoblox said on Jan. 14 that acquired Axur, an AI-powered security services company. Terms weren’t disclosed. Santa Clara, Calif.-based Infoblox is a cybersecurity company backed by Austin PE firm Vista Equity Partners and New York PE firm Warburg Pincus. Infoblox said the acquisition will expand its preemptive security strategy “to better address brand abuse, fraud, data and credential theft, and the growing risk posed by external digital threats.”

Energy Transfer prices $3B of notes

Deal Description: Dallas midstream industry giant Energy Transfer announced on Jan. 12 the pricing of $1 billion of 4.55 percent notes due 2031, $1 billion of 5.35 percent notes due 2036 and $1 billion of 6.3 percent notes due 2056. The company plans to proceeds from the offerings to refinance existing debt, including commercial paper and borrowings under its revolving credit and general purposes.

CenterPoint Energy gets $800M loan

Deal Description: CenterPoint Energy said on Jan. 16 that it got an $800 million delayed draw term loan from a consortium led by Toronto-Dominion, as administrative agent. PNC Bank and The Bank of Nova Scotia also committed to provide funding. The Houston utility, which serves more than 7 million customers in Indiana, Minnesota, Ohio and Texas, said it can access the loan in up to three separate borrowings by March 31. The loan matures in July 2027. CenterPoint plans to use proceeds for general corporate purposes.

Deal Description: Houston-based Bristow Group announced on Jan. 14 the pricing of a private offering of $500 million of 6.75 percent notes due 2033 to redeem notes due 2028. Deal Description: Calumet Inc. said on Jan. 12 that it closed a private placement of $405 million of 9.75 percent notes due 2031. The Indianapolis specialty hydrocarbon products and renewable fuels manufacturer said the placement was upsized from an initial $350 million. Deal Description: AirJoule Technologies announced on Jan. 14 the pricing of a public offering of more than 6.15 million common shares at $3.25 each and granted underwriters an over-allotment option to acquire another 923,000 common shares. The Montana-based provider of dehumidification and pure water from air products expects proceeds of nearly $23 million from the offering that included participation from AirJoule directors, officers and executive management.
