Fifteen Deals, $10 Billion and a Few Accounting Quirks

For the week ended Dec. 13, the CDT Roundup saw 15 deals reported with a total value of just under $10 billion.

For any erstwhile editorial accountants, please note that the first item involving Antero Resources and Antero Midstream is actually four deals reported as one. Why? Because it made the deals, when viewed together, make sense.

Likewise, the Noble Corp. deal below could have been reported as two deals, but we didn’t count it that way. Why? Because it didn’t make sense. Besides, it had the advantage of distinguishing this week’s 15 deals for $9.952 billion from the 16 deals for $9.947 the week prior.

And, for the record, at this time last year, we saw 15 transactions come across our desks with an aggregate value of $5.3 billion.

In M&A this week’s Roundup includes a handful of energy-related deals with a shuffling of midstream assets, Texas solar projects selling minority stakes and some offshore rigs trading hands. Add to that an Austin alcoholic beverage deal, a landscaping services acquisition and investments in an HVAC tube fabrication operation (think data centers).

And on the capital markets side: a SPAC IPO, an approximately $1 billion private placement, a stock buy-back and a post-merger holiday cleanup on the Constellation-Calpine aisle.

M&A/Fundings

Antero on both sides of four Appalachian Basin deals for $5.1B

Antero Resources and its midstream provider Antero Midstream announced on Dec. 8 their separate but coordinated acquisitions of Marcellus Basin assets from HG Energy II and HG Energy totaling $3.9 billion. And in two similarly separated and coordinated announcements, Northern Oil and Gas and Infinity Natural Resources said they are acquiring a total of $1.2 billion of Utica Shale with Antero Resources and Antero Midstream on the sell side. Anheuser-Busch to acquire Austin-based BeatBox Beverages for $490

Deal Description: Beverage giant Anheuser-Busch announced Dec. 5 its acquisition of an 85 percent interest in Austin-based BeatBox for $490 million. Founded in 2011 by Justin Fenchel, Aimy Steadman and Brad Schultz, BeatBox features ready-to-drink fruit-forward party punch with alcohol contents as high as 11.1 percent. Investors in the brand include Mark Cuban, who agreed to fund $1 million after hearing their pitch on “Shark Tank.” The deal includes a path for AB’s In Bev division to acquire the remaining 15 percent if the BeatBox brand achieves certain undisclosed metrics after five years.

Noble sells rigs for $424M, moves focus to deepwater, ultra-harsh environments

Deal Description: Houston offshore drilling contractor Noble Corp. said on Dec. 8 that it sold five jackup rigs to Bermuda-based Borr Drilling Ltd. for $360 million in cash and notes and sold one jackup rig to Abu Dhabi-based Ocean Oilfield Drilling for $64 million cash. The agreement with Borr – $210 million cash and $150 million in notes expected to have a six-year maturity and be secured by a first lien on three jackups – includes rigs in the North Sea, Persian Gulf, Malaysia and South America. Under a separate bareboat charter agreement, Noble plans to operate one of the rigs in North Sea and another in the Persian Gulf for a year, allowing Noble Corp. to complete their current drilling contracts associated with the rigs. The agreement with Ocean Oilfield Drilling is for one jackup rig in the Balearic Sea off Spain’s eastern shore. Following the close of these transactions, Noble said it will become a pureplay deepwater and ultra-harsh environment jackup operator.

Repsol, Stonepeak expand renewables partnership in $252M deal

Deal Description: Madrid-based oil and gas conglomerate Repsol said on Dec. 11 that it agreed to sell a 43.8 percent stake in its solar energy project in Webb County to Stonepeak for $252.5 million. Stonepeak, an investment firm specializing in infrastructure and real estate, said the deal implies a valuation of about $775 million for the project that began commercial operation in August. The Outpost solar facility has a capacity of 629 megawatts and a long-term purchase agreement. Earlier this year, The Lawbook reported that the companies closed a deal for Stonepeak to acquire a 46.3 percent stake in Repsol’s solar farm in Swisher County and a solar and storage complex in New Mexico for $340 million.

Tailwater Capital acquires majority stake in Central Midstream Partners

Deal Description: Dallas energy and infrastructure PE firm Tailwater Capital said on Dec. 11 that it acquired a majority stake in Central Midstream Partners, which provides liquids transportation, storage, and terminal services across the Gulf Coast and Ohio. Terms weren’t disclosed. Central Midstream operates more than 100 miles of pipeline with about 350,000 barrels of storage capacity and a multi-modal terminal in Ohio that links Utica condensate production to waterborne and rail markets. Tailwater agreed to also invest additional equity to support near-term growth projects. George Jordan will remain CEO of Central Midstream and continue to run the company.

Bessemer Investors provides funding to healthcare cleaning, patient support firm

Deal Description: New York private equity firm Bessemer Investors said on Dec. 9 that it completed a significant investment in Xanitos Inc., a Newtown Square, Pa., provider of healthcare cleaning and support services to hospitals and ambulatory care settings. Terms weren’t disclosed, though MidCap Financial and Stellus Capital Management provided debt financing for the transaction. CEO Dave Crothall will continue to lead Xanitos, which was founded in 2008 and uses proprietary AI-backed software to provide environmental services, patient transport, patient observation, and other support services over 100 hospitals in more than 25 states. Los Angeles-based private equity firm Angeles Equity Partners acquired Xanitos in 2021 with a goal of expanding nationally.

CenterOak Partners sells Turf Masters Brands to Wind Point Partners

Deal Description: Dallas private equity firm CenterOak Partners announced on Dec. 11 the sale of Turf Masters Brands Inc. to Chicago PE firm Wind Point Partners. Terms weren’t disclosed. Based in Atlanta, Turf Masters Brands provides recurring lawn, tree and shrub care to more than 200,000 homeowners across 12 states. During CenterOak’s investment, Turf Masters more than doubled its customer base and branch network, growing to more than 40 locations with over 1,100 employees. Wind Point Partners will fold Turf Masters Brands into its portfolio company ExperiGreen Lawn Care of Mishawaka, Ill. The combined company will operate as Turf Masters and have nearly 400,000 residential customers in two Canadian provinces and 16 states across the the Midwest, Mid-Atlantic and Southeast.

Constellation to exchange $2.4B of Calpine notes for new

Deal Description: After resolving antitrust issues involving its acquisition of Calpine Energy, Constellation Energy announced on Dec. 9 an exchange offer for Calpine notes due in 2029 and 2031 for new notes issued by Constellation. Constellation is offering their own notes for Calpine’s 4.625 percent notes due 2029, 5 percent notes due 2031 and 3.75 percent notes. The new Constellation notes bear the same payment dates, maturities and interest rates as the Calpine notes. The new 2031 Constellation notes will no longer have certain redemption features and will contain superior call protection to the Calpine notes, according to Constellation. Holders of Calpine notes tendered by Dec. 22 also will receive cash consideration. Baltimore-based Constellation controls more than 25,000 megawatts of electricity generation, including 5,000MW across ERCOT, the Texas grid provider. Calpine, controls 14,000 megawatts of generating capacity, 9,000MW of that in ERCOT, with the rest in PJM utility region, that includes parts of 13 states and Washington D.C.

Exelon Corp. sells $900M of notes in private placement

Deal Description: Exelon Corp. announced on Dec. 1 the pricing of $900 million of 3.25 percent notes due 2029 in a private placement. The Chicago-based public utility plans to use proceeds to repay or refinance debt and for general purposes. Exelon granted initial purchasers an option to purchase an additional $100 million of the convertible notes. Exelon serves more than 10.7 million customers through six fully regulated transmission and distribution utilities in Illinois, Delaware, Maryland, Pennsylvania, New Jersey and Washington, D.C.

Karbon Capital Partners SPAC closes $345M IPO

Deal Description: Karbon Capital Partners Corp., a Scranton, Pa.-based blank check company, said on Dec. 12 that it closed an initial public offering of 34.5 million units at $10 each, which includes a 4.5 million units sold in an over-allotment option for underwriters. The units began trading on Nasdaq under the symbol “KBONU” on Dec. 11. Each unit consists of one ordinary share and one-fourth of one redeemable warrant. Each whole warrant entitles the holder to purchase one ordinary share at $11.50 each. The SPAC plans to target firms that focus on the energy needs of data centers and the liquified natural gas sector.

Late Arrivals and Other Matters …

Private investment firm Glenfarne Group said in early December that its Texas LNG project signed a 20-year sales and purchase agreement with Macquarie Energy, a subsidiary of Australian banking and financial services firm Macquarie Group Ltd., for 500,000 metric tons of liquified natural gas annually. This agreement converts a previous non-binding deal between the companies into a binding definitive agreement. Latham & Watkins repped Glenfarne Group’s Texas LNG unit in the transaction led by Taylor López with help from Siyao Liu and Luis Cardenas in Houston and Hamad Al-Hoshan from New York.

PROPWR, a division of Midland oilfield services company ProPetro Holding Corp., said it signed a contract with a unit of Houston oil and gas company Coterra Energy to provide power for the development and installation of distributed microgrids throughout the New Mexico portion of the Permian Basin. Terms weren’t disclosed. Vinson & Elkins lawyers Mark Brasher (Houston) and Jake Silver (Washington, D.C.) represented Coterra in the transaction.
