HayBoo Leads $820M Dickies Deal

Fort Worth-based Williamson-Dickie turned to its long-time outside counsel Haynes and Boone to advise the family-owned workwear maker in its $820 million sale to branded lifestyle apparel manufacturer VF Corporation of North Carolina.

Davis Polk is representing VF. Barclays is serving as the financial adviser.

Haynes and Boone has advised Williams-Dickie in previous matters, including its 2013 acquisition of Walls Holding for $50 million.

HayBoo corporate partners Brian Barnard and Tom Tippetts. Barnard is the administrative of the firm’s Fort Worth office.

Other HayBoo partners who advised on the transaction are Jennifer Wisinski, Susan Wetzel, Mary Mendoza and Ken Bezozo. Counsel Sharon Cooper and associates Maria Vives Hopper and Bryan Diebels are also working on the deal.

Well-known Williamson-Dickie brands include: Dickies®, Workrite®, Kodiak®, Terra®, and Walls®. These brands will join VF’s current workwear offerings including: Wrangler® RIGGS Workwear®, Timberland PRO®, Red Kap®, Bulwark®, and Horace Small®. Upon closing, Williamson-Dickie will become part of VF’s Imagewear coalition.

Philip Williamson, Chief Executive Officer of Williamson-Dickie will remain with the company, headquartered in Fort Worth, Texas.
