(May 23) – The Woodlands-based Huntsman Corp. hired no Texas-based lawyers in its mega-merger it announced Monday with fellow chemicals giant Clariant of Switzerland.
That we know of, at least.
One of Huntsman’s law firms in the “merger of equals” is Vinson & Elkins, but the Houston-based firm declined to name its deal team.
Kirkland & Ellis is also representing Huntsman, but its deal team is based in New York, Chicago and London. Huntsman also hired Swiss law firm Bär & Karrer for legal advice.
Huntsman’s general counsel is David Stryker, who has been with the company since June 2013, according to his LinkedIn page. Before his previous in-house stints as the GC of BASF and Associate GC of Siemens Corp., the Indiana University School of Law graduate was a partner in Kirkland’s Chicago and New York offices.
Clariant turned to New York firm Cleary Gottlieb Steen & Hamilton and Swiss firm Homburger for legal advice.
The all-stock transaction is expected to close by the end of 2017. If it does, the merged company will be named HuntsmanClariant and its operational headquarters will be in The Woodlands. The combined specialty chemical company will save approximately $400 million a year in cost synergies, the companies said.
Founded in 1970, Huntsman is the company behind an array of chemical products for consumers and industrial customers, including the containers McDonald’s uses for its Big Macs. The company’s revenues were approximately $10 billion last year.
BofA Merrill Lynch and Moelis & Company served as Huntsman financial advisors. Citi and UBS AG represented Clariant.
