Latham and V&E Close Latest Midstream IPO

(May 11) – A group of Houston-based lawyers from Latham & Watkins and Vinson & Elkins on Tuesday closed the latest initial public offering for an energy company with Antero Midstream GP LP’s $875 million IPO.
Antero Midstream GP LP now trades on the New York Stock Exchange under the ticker “AMGP.” The Delaware limited partnership launched its IPO on Thursday, which sold 37.25 million shares for $23.50 per common share. The shares were offered through a selling shareholder of AMGP called Antero Resources Investment.
Latham’s Bill Finnegan and Ryan Maierson led the IPO for AMGP. The Latham corporate deal team also included Houston associates Nick Dhesi, Ryan Lynch, Jayne Wabeke, Lance Hancock and Corey Allen.
Corporate partners David Oelman and Julian Seiguer and associate Scott Rubinsky led the IPO for the underwriters, which included Morgan Stanley, Barclays, J.P. Morgan, Baird, Citigroup, Goldman Sachs and Wells Fargo. The V&E capital markets team also included associates Sean Roberts and Eryn Roberts.
V&E attorneys advising on other aspects of the deal included partner John Lynch and associates Lina Dimachkieh and associate Curt Wimberly (tax); partner Stephen Jacobson and associate Austin Light (executive compensation/benefits); and counsel Taylor Pullins and associate Matthew Dobbins (environmental).
AMGP owns the general partner of Denver-based Antero Midstream Partners LP. The company’s assets are located in the West Virginia area of the Marcellus Shale and the Ohio area of the Utica Shale.
After the IPO, the public owns 20 percent of the company and the selling shareholder owns the remaining 80 percent.
