Luminant Pays $1.6 Billion for Two Power Plants

(Nov. 27) – A power generating affiliate of Dallas-based Energy Future Holdings is acquiring two Northeast Texas natural gas powered electric plants from NextEra, a Florida energy company.

efhplaza1Luminant has agreed to pay $1.59 billion to purchase the Forney Energy Center and Lamar Energy Center, which jointly supply power to about 1.5 million homes.

Because Luminant’s parent, EFH, is in Chapter 11 restructuring and reorganization, the deal was previously approved by the federal bankruptcy judge. The transaction is expected to close in the first quarter of 2016.

EFH Deputy GC Andrew Wright and Gibson, Dunn & Crutcher partner Rob Little in Dallas led the Luminant side of the deal.

Others Gibson Dunn lawyers in Dallas who worked on the transaction were Jonathan Whalen, Tim Fisher, David Sinak, Krista Hanvey and Mike Sinak.

London-based Hogan Lovells represented NextEra. Paul Weiss represented the TCEH first lien creditors with respect to the deal.
