In this Q&A with The Texas Lawbook, Hines Chief Legal and Compliance Officer Richard Heaton discusses the traits he seeks in outside counsel, what outside counsel need to know when working with him and more.
Texas Lawbook: How has the role of the GC evolved over the past decade or so?
Richard Heaton: One key evolution is that GCs used to oversee many discreet legal matters (e.g. transactions, disputes, etc.). Now, the GC needs to be on top of all things risk — seeing around corners and horizon scan for emerging risks — to keep management apprised and advised of those risks, to be a culture carrier and to contribute to the business strategy. The world gets more complex every day and so does the role of the GC.
Lawbook: What are the factors you consider when deciding about hiring outside counsel?
Heaton: Practical mindset. Value for the cost. But most important, someone who will be a true partner by understanding they represent Hines when they speak and act.
Lawbook: What does outside counsel need to know about you?
Heaton: It’s a relationship, which goes both ways. We help each other.
