Reata Pharmaceuticals Taps V&E for Public Offering

Reata Pharmaceuticals Chief Legal Officer Mike Wortley has turned to his old law firm, Vinson & Elkins, as its legal adviser handling its underwritten public offering of 3.25 million shares of its Class A common stock at a price to the public of $31 per share.

Reata, which is based in Irving, priced the offering on July 26 and is expected to close on Aug. 1, subject to customary closing conditions.

Wortley was a partner in V&E’s Dallas office until he retired in 2015.

The V&E corporate team is led by partner Robert Kimball with assistance from senior associate Neil Rajan and associates Katherine Frank, Aaron Walker, Alex Robertson, Desi Baca and Samantha Monk. Partner Jim Meyer advised on tax issues.

Jefferies, Leerink Partners and Stifel, Nicolaus & Company are acting as the joint book-running managers for the offering. Robert W. Baird & Co. and Ladenburg Thalmann & Co. are acting as co-managers for the offering.

The gross proceeds to Reata from the offering, before deducting underwriting discounts and commissions and other offering expenses, are expected to be $100.75 million, according to Reata’s press release.
