In 2017, Sidley represented:
• Macquarie Infrastructure and Real Assets (MIRA) on tax and other aspects of its $160 million joint venture with California Resources Corporation, the largest oil and natural gas exploration and production company in California on a gross-operated basis.
• PRA Group, Inc. in the sale of its government services businesses, consisting of four subsidiary companies providing various tax and financial accounting services to government agencies, to an affiliate of Millstein & Co. for $91.5 million in cash plus additional consideration for certain balance sheet items.
• Anadarko Petroleum Corporation in its sale of certain upstream and related assets in the Eaglebine formation to WildHorse Resource Development Corporation for aggregate consideration of $625 million payable in cash and common stock.
• Forterra, Inc. a leading manufacturer of pipe and precast products in the United States and Eastern Canada, in an “earn out” dispute in the Delaware Court of Chancery and in an accompanying accounting arbitration.
• TerraForm Power, LLC, as project finance counsel in the sale of its portfolio of renewable energy projects to Brookfield Asset Management. Terraform was valued at $1.7 billion in the transaction, with Brookfield assuming approximately $455 million in net project financed debt for control of TerraForm.
• Xome Holdings, a subsidiary of Nationstar Mortgage, LLC, in the sale of all of the assets used in Xome’s retail title business to Stewart Title. The purchase price was approximately $18 million in cash and included approximately 15 locations and 250 employees.
• FelCor Lodging Trust against litigation that sought to block the completion of its September 2017 merger with RLJ Lodging, a deal that went on to create the largest industry-specific public REIT.
