(May 6) – Kelly Hart announced Monday that tax expert Sean Bryan is rejoining the firm.

Bryan, who left 18 months ago after a client moved its book of business to Akin Gump, said the Fort Worth-based firm is a better fit for him.

“Kelly Hart is a place where people bring their problems and say, ‘fix them,’” he said. “It has a good place in the Fort Worth community.”

Over the past year, Bryan has advised on a number of transactions looking into the use of REITs or other block entities. He also recently worked on a joint venture for an international client.

Bryan says the IRS has issued regulations in REITs over the past year that have provided better guidance in these types of structures to protect tax-exempt investors. He hopes the recent rulings on the Fractions Rule provide more certainty.

One of the interesting dynamics of tax planning, he says, is the “interplay between a desire for increasing transparency and a desire for privacy.”

In addition to his law practice, Bryan serves on the board of directors of the Tarrant County College Foundation and the Greater Fort Worth/Arlington Chapter of the Juvenile Diabetes Research Foundation.
