(April 29) – Austin-based chipmaker Cirrus Logic announced Tuesday that it is buying Wolfson Microelectronics for $488 million.
Wolfson is an audio technology company based in Scotland.
Cirrus Logic turned to Vinson & Elkins as its legal advisor. Austin M&A partner William Volk leads the V&E team, which includes Austin corporate law associate Shaun Mathew, finance partner Tim Johnston, antitrust partner Neil Imus, executive compensation and benefits partner Brian Bloom and associates Michael Gibson, Nadine Amr, Phil Coletto, Matt Armendariz and Martin Luff.
Cirrus Logic General Counsel Gregory Scott Thomas, a University of Texas Law School alum and former partner at Thompson & Knight, says he chose V&E and Volk because Volk has basically served as the company’s outside corporate counsel for several years and has handled most of its securities and corporate law matters.
“Bill has a unique insight into our company and what we do,” says Thomas. “Because I had an intellectual property background, he basically mentored me in corporate law matters.”
Thomas also said that he and Volk turned to London-based Slaughter and May to help guide the company through the unique U.K. Takeover Code, which requires approval of this kind of transaction by a federal regulatory agency in the U.K.
Two London-based law firms, Slaughter and May and Burness Paul, are also representing Cirrus Logic in the deal.
The transaction is expected to close by the end of the year.
