(Feb. 25) – A group of Texas Vinson & Elkins lawyers advised Canada-based MacDonald, Dettwiler and Associates on a $3.6 billion acquisition of DigitalGlobe, a Colorado-based global provider of high-resolution Earth imagery products and services.
The deal value includes $1.2 billion in net debt. The transaction is expected to close in the second half of 2017.
MDA turned to Houston corporate partners Jeff Floyd and Steve Gill to handle its end of the transaction. Other Houston attorneys who worked on the deal included partners Jason McIntosh, John Lynch and Sean Becker; counsel Regina Ibarra; and associates Justin Hunter, Brett Peace, Nettie Downs, Shauna DiGiovanni, Jonathan Sapp, Allyson Seger and Curt Wimberly. Dallas partner David D’Alessandro and associates Karsten Busby and Jeffrey Swigart also advised on the deal.
The team also turned to attorneys from the firm’s New York and Washington D.C. offices.
MDA also hired a group from Stikeman Elliott to work on the deal. The company’s financial advisor was BofA Merrill Lynch.
DigitalGlobe’s lawyers were from O’Melveny & Myers. Its financial advisors were PJT Partners and Barclays.
DigitalGlobe’s client base use its products for a multitude of purposes, including defense and intelligence, civil agencies, mapping and analysis, environmental monitoring, oil and gas exploration, infrastructure management, Internet portals and navigation and technology.
