V&E and Baker Botts Advise in Columbia Pipeline Partners’ $1.1 Billion IPO

(Feb. 12) – Houston-based Columbia Pipeline Partners announced Wednesday that it closed its initial public offering. The 46.8 million offered shares, which began trading on the New York Stock Exchange on Feb. 6, sold at $23 per share and raised $1.1 billion for the company.

Vinson & Elkins represented Columbia Pipeline Partners, which is an MLP of NiSource Inc. Houston corporate partners Gillian Hobson and David Oelman and New York corporate partner Mike Rosenwasser led the V&E team. They received assistance from Houston associates Michael Blankenship, Gabe Nwuli, Aaron Schleicher and Victoria Bagot.

Houston corporate partner Hillary Holmes led the IPO for the joint book-running mangers, Barclays and Citigroup, as well as the other underwriters. From the Houston office, she received assistance from partner Josh Davidson, associate Laskhmi Ramanathan and special counsel Chuck Campbell. The deal team also included New York associate Sarah Berens and Washington, D.C. special counsel Greg Wagner.

Additional underwriters included BofA Merrill Lynch, Goldman Sachs & Co., JP Morgan, Morgan Stanley, Wells Fargo Securities, BNP Paribas, Credit Suisse, RBC Capital Markets, Fifth Third Securities, KeyBanc Capital Markets, MUFG, Mizuho Securities, Scotia Howard Weil and Huntington Investment Company.
