CDT Roundup: Data Centers, AI Hunters and HVAC Companies Fuel PE Activity

The week ending Aug. 23 saw 23 deals for just over $15.2 billion. The deals included three transactions — in media, oil and gas and electrical services — which together accounted for $13.6 billion, amounting to 90 percent of the total.

But the week saw a slurry of PE transactions, most of them in the electrical, HVAC or data services sectors, and most of them reported without disclosed values or even disclosed legal counsel. They involved a broad variety of interesting businesses: a pair of metal fabrication deals, an Austin company manufacturing Small Modular Nuclear Plants, a couple of AI-driven supply chain monitors, an AI-driven asset hunter, a couple of data center infrastructure deals and a couple of data center investments.

Maybe the most interesting, however, is the close of a capital issue by a familiar casino firm in Chicago that carries a backstory tangle with a Texas pro bono law firm.

Nexstar to Buy TEGNA Local Broadcast Properties for $6.2B

Publicly traded Nexstar Media Group, the nation’s largest owner of local television broadcast stations in the U.S., announced Aug. 19 that it is acquiring TEGNA Inc. and its 65 local stations in 51 markets, including 15 stations in 12 markets in Texas.

For a total of $6.2 billion Nexstar plans to acquire all outstanding shares of TEGNA for $22 per share, a 31 percent premium over TEGNA’s unaffected 30-day average ending Aug. 8. Under terms of the agreement, Nexstar also assumes TEGNA’s liabilities, which included $2.5 billion long-term debt as of June 30, according to TEGNA’s most recent 10Q reporting to the SEC.

The transaction, though transformational for Texas broadcast media, included advisors from outside the state from Kirkland & Ellis, Wiley Rein and Morrison Foerster for Nexstar and Wachtell, Lipton, Rosen & Katz, along with Covington & Burling for TEGNA. Canadian oil sands producers Cenovus, MEG to combine for $5.68B

Deal Description: Canadian oil sands producer MEG Energy has agreed to merge with its Canadian competitor Cenovus Energy Inc. in a cash-and-stock deal valued at C$7.9 billion (US$5.68B), after MEG’s board rejected a C$6 billion unsolicited offer from Strathcona Resources. The Cenovus agreement distills to a 3 to 1 cash-to-stock ratio and involves no additional Cenovus financing. The deal aligns MEG’s production capacity in the Christina Lake of Northern Alberta. Both companies are headquartered in Alberta. For its part, Strathcona says it plans to contest the agreement through shareholders. The deal is expected to close before the end of 2025. Reuters said the offer credits MEG with an equity value of C$6.93 billion, a 27.9 percent premium over the last close of MEG before the Strathcona offer in May.

Blackstone to Buy Irving Electrical Services Company for $1.6B

In yet another deal for data infrastructure services, Blackstone said Aug. 21 its affiliated funds have acquired Shermco, an electrical services company based in Irving, for $1.6 billion.

The company is being acquired from Gryphon Investors, a San Francisco private equity firm that purchased its majority stake in Shermco in June 2018 for a reported $1.1 billion.

Dallas-based Lennox acquires HVAC brands from NSI Industries for $550M

Deal Description: Lennox, the familiar, publicly traded HVAC provider based in Dallas, expanded its parts and supplies portfolio with an acquisition from Sentinel Capital Partners of HVAC brands from their portfolio, NSI Industries, for $550 million. Of particular interest to Lennox were Duro Dyne and Supco, providers of specialty climate control products. NSI Industries is headquartered in Huntersville, North Carolina. Details of the agreement and advisors for either party were undisclosed.

Overhaul acquires FreightVerify and $105M in Series C funding

Deal Description: Overhaul, a supply chain risk management firm, said Aug. 19, it had acquired Michigan-based FreightVerify, which provides item-level tracking and inventory intelligence. Financial terms weren’t disclosed. Overhaul, headquartered in Austin, said the combined platforms would allow “warehouse level control over good in motion, along with real-time monitoring, predictive intelligence, and immediate response capabilities to protect high-value cargo from theft, damage, and delays. Overhaul also announced that it had secured $105 million in Series C equity funding from Springcoast Partners and Edison Partners along with a new debt facility with MidCap Financial. Overhaul, which says that it expects continued consolidation in the supply chain technology sector, plans to use the funding to advance AI-driven capabilities and strategic acquisitions.

Aalo Atomics nets $100M in Series B capital raise

Deal Description: Aalo Atomics, the dba of Austin-based Aalo Holdings, announced the Aug. 19 the close of a $100 million Series B capital raise. The new financing for the was led by Valor Equity partners. Participants included 50Y, Alumni Ventures, Crescent Enterprises, Crescent Enterprises and others. The company is developing nuclear technology in the form of small modular nuclear reactors that can be assembled and installed as small-scale modular nuclear plants, initially to meet the needs of data center customers. The company is planning the first DOE authorized zero-criticality test application of its approach in 2026 in Idaho Falls, Idaho, utilizing sodium-cooling and UO2 as a fuel source.

Epsilon Energy to acquire Peak Properties in Powder River Basin for $85M

Deal Description: In an all-stock transaction valued at $85 million Epsilon Energy announced Aug. 13 that it has acquired the Peak Companies (Peak Exploration & Production and Peak BLM Lease) from Yorktown Partners. The deal, as announced, includes 6 million shares of Epsilon stock at an assumed value of $6.21 per share and the assumption of approximately $49 million of debt. The transaction adds 40,500 net acres in the Powder River Basin and includes the potential of 2.5 million shares contingent on permitting.

AI tax enforcement platform gains $60M in Series B raise

Deal Description: IVIX, an AI-based fund that claims to identify unidentified offshore assets and illicit financial activity, announced Aug. 18 the close of its Series B fund raise at $60 million. The round was led by O.G. Venture Partners with participation from Insight Partners, Citi Ventures, Team8, Disruptive AI, Cardumen Capital, and Cerca. IVIX said it plans to use the money to accelerate its research and development capabilities. IVIX describes its platform as an off-the-shelf Large Language Model AI solution for tax-based authorities to recover taxable value at-scale in an increasingly sophisticated environment of computer trading, shell company transactions and the rise of cryptocurrencies. The company, founded in 2020 and headquartered in New York City, says its platform has already been deployed in the U.S., Europe, and Asia.

The company, in its current iteration, was founded in 1992 by Amylu Kurzawski, who established as a healthy foods provider from the foundation of a family-owned business established in 1922.

Deal Description: GI Partners announced the closing of the single-asset continuation vehicle in support of data center provider Flexential. The oversubscribed funding, primarily from funds managed by Hamilton Lane — when combined with funds invested last year by Morgan Stanley Infrastructure Partners — brings to more than $1 billion the GI Data Infrastructure funding for Flexential. Steel Dynamics to acquire remaining 55% of New Process Metal Solutions

Deal Description: Steel Dynamics, which purchased a 45 percent stake in New Process Steel in 2021, announced Aug. 19 that it is acquiring the rest of the Houston-based company. New Process, now known as New Process Metal Solutions, specializes in a wide variety of sheet metal fabrications (blanking, stamping, embossing, slitting, etc.). Owned by Richard Fant, New Process was founded in 1906 as New Process Roofing which was acquired by Fant’s father, Eugene Fant, in 1952. Terms of the deal were undisclosed. Steel Dynamics is headquartered in Fort Wayne, Indiana. The acquisition was made by Steel Dynamics through its subsidiary STDL Holdings Inc.

Solaris to acquire strategic partner HVMVLV

Deal Description: Solaris Energy Infrastructure acquired of one of its own strategic partners, HVMVLV, in a deal announced Aug. 18. The deal is aimed at expanding Solaris, a provider of electrical control and distribution equipment, into a power-as-a-service strategy, a strategy the company said is provided by the existing management of HVMVLV, who will be retained by Solaris under the deal. The company says the agnostic-power strategy will increase its presence in a broad range of electricity-critical industries: hospitality, utilities and, of course, data centers. Solaris is based in Houston. HVMVLV, which stands for High Voltage, Medium Voltage, Low Voltage is a specialized electrical equipment development platform owned by Hans Schellstede. Terms and advisors were undisclosed.

Westlawn-backed Ellipsis Energies on two deals in East/West Texas

Deal Description: Westlawn Group-backed Ellipsis U.S. Onshore Holdings announced two transactions involving non-operated interests, primarily in East and West Texas. In the first, Ellipsis said it has acquired oil and gas assets involving more than 600 drilling locations aligned with Ellipsis holdings in the Permian Delaware Basin. Selling interests were unidentified. In the second transaction, Ellipsis said it has entered into a farmout agreement with Black Stone Minerals involving about 270,000 acres across five counties in East Texas. Under the agreement, Ellipsis gains the exclusive right to earn non-operated working interests in Haynesville’s acreage position with a defined path to bolt-on opportunities. Ellipsis is based in Dallas.

Deal Description: SBS Precision Sheet Metal, a Florida-based manufacturer of precision parts, announced has been sold to Appian Way Capital of Dallas. The deal was announced Aug. 19, and its terms were undisclosed. SBS Precision is a supplier to a variety of military, aerospace and other commercial sectors. Appian Way was founded in 2019 by Michael Metcalf and Adam Tauzel.

Limestone Acquires Family of VPS, Web-Hosting Companies

Deal Description: Cloud services and data center provider Limestone Networks announced Aug. 20, its acquisition of four companies that provide virtual private servers and web hosting. Dallas-based Limestone said it had acquired BreezeTech Hosting, Silver Hosting, Snowside Hosting and NextArray. Financial terms weren’t disclosed. In its announcement Limestone described the move as “a bold expansion into the VPS and web hosting markets.” Limestone has long been a provider of “bare metal” infrastructure, a hardware based networking that allows fast, dependable access to large or specific datasets often for use in quantum computing or the Internet of Things. The company says that by adding VPS and web hosting it can expand its client base with services suited to startups and enterprise-scale service providers.

Ecobat Sells Battery Recycling Plants in Germany, Austria

Deal Description: Dallas-based Ecobat said Aug. 22 that it sold its battery recycling and specialty lead operations in Germany and Austria this week to Clarios, a Wisconsin-based low-voltage battery technology company. Financial terms weren’t disclosed. The transaction is expected to close early next year. Ecobat said the deal will enable the company to concentrate on core recycling operations and its lithium-ion battery business. The company previously sold operations in France and Italy, as well as its distribution operations.

Arcline Expands South Texas Ops With Jarco Ready Mix

Deal Description: Arcline Equity Holdings acquired Jarco Ready Mix, including six batch plants across South Texas, expanding its ready-mix concrete operations throughout the region. Financial terms weren’t disclosed in the Aug. 20 announcement. Arcline – a unit of San Antonio-based transportation construction company Zachry Construction Corp. – said the acquisition — from Jarco owner Joe Regalado — allows it “to continue delivering essential materials, strengthen our supply chain and give our customers the confidence they need to build with us for years to come.” The combined company to be known as Arcline Ready Mix will retain all 87 employees at the acquired sites, with plans to expand as operations grow, as demand is projected to stay high with continued population and commercial growth across South Texas, according to Arcline.

Deal Description: Highway received an unspecified minority equity investment this week led by FTV Capital with participation from Lead Edge Capital. Terms weren’t disclosed. Jerome Hershey, principal at FTV Capital, and Nimay Mehta, managing partner at Lead Edge Capital, will join Highway’s board of directors. Highway is a private Dallas-based transportation logistics company specializing in carrier identity services. The company said the minority investment will help it expand products and services “built for freight brokers to verify carriers, prevent fraud and build trusted networks.”

CubeSmart issues $450 million in unsecured notes

Deal Description: Self-storage operator CubeSmart announced its offering, Aug. 11, of $450 million in 5.125 percent senior unsecured notes due 2035. The notes are priced at 98.956 percent of principal with a yield of 5.259 percent at maturity. The offering closed on Aug. 20. The company, third largest self-storage operator in the U.S., said it will use the proceeds to repay its revolving credit facility and other debts.

Deal Description: Signet Maritime Corporation announced a $132 million long term loan from First Citizens Bank. The Houston-based maritime carrier, logistics provider and shipyard operator is solely owned by its founder and CEO, J. Deal Description: Canadian mining company Standard Lithium Ltd. filed has filed with the SEC an at-the-market program of equity shares valued at $50 million. Bally’s Chicago closes IPO (finally)

Deal Description: Bally’s, the global gaming people, announced the close of a problematic community capital raise for a casino in Chicago. The issue was, in effect, a private placement to what Bally’s described as “nearly 1,800 unique shareholders” that include 1,573 “residents of Illnois.” The issue, tagged by Bally’s as their Community Investment Program, followed settlement of a lawsuit filed by the Texas-based Liberty Justice Center on behalf of an Illinois resident challenging an earlier IPO by Bally’s Chicago, Inc. The $250 million IPO, as first registered, required investors in the 10,000 shares offered to be a “minority” as defined and required by the city of Chicago. The restriction was made to satisfy an minority equity requirement in Bally’s with the city for an exclusive casino/resort hotel franchise to be located on 30 acres owned by Bally’s on the Chicago River. The company agreed to the changes in May and has not yet reported their earnings from the program. But the original $250 million IPO was met with publicly articulated suspicion in Chicago and netted only $12 million.
