CDT Roundup: 15 Deals, 11 Firms, 118 Lawyers, $3.9B

Mergers and acquisitions in the upstream part of the U.S. oil and gas business may have slid 44% in the third quarter from the second quarter’s record-setting deal value, energy data analytics company Enverus reported last week. But the $18.5 billion transacted still topped the five-year quarterly average for M&A value of about $16 billion (excluding Occidental/Anadarko).

Andrew Dittmar, a director at Enverus, said he has seen a “red-hot” market for upstream M&A since the industry recovered its footing from the initial shock of COVID-19, inevitably leading to the hungriest buyers and sellers finding their deals and activity reverting back toward the average. “We seem to be hitting that inflection point,” he said.

ConocoPhillips’ late September move to acquire Shell’s position in the Delaware Basin for $9.5 billion — and in cash — was the biggest deal of the quarter and vaulted Conoco into second place for Permian production after Pioneer Natural Resources (and displacing Occidental Petroleum). Also of note: that privately funded buyers boosted their share of acquisitions to about one-fifth by value.

Dittmar says there are still opportunities for public company consolidation as well as potential private sellers looking to capitalize on price levels not seen in years. But he feels that the sense of urgency seems to have left the deal market. “Through the end of the year, we are likely to see mostly smaller sized asset deals as companies trim their portfolios with the chance of an occasional larger public company merger or private E&P sale,” he said.

The bloom may already be off the rose….

In the week ending October 16, there were 15 transactions worth a total of $3.9 billion involving different 11 firms and 118 mostly Texas-based lawyers. Of these, there were 13 M&A deals worth $2.3 billion and a couple of capital markets transactions worth $1.6 billion.

As you can see from the chart below, we’re a bit below in deal count from last week’s 20 transactions and a lot below in last week’s reported deal value of $8.6 billion. None of the deals reported last week breached the $1 billion mark. Even so, it was a week that rated a lot better than the same week last year when there were only 8 deals for $3.5 billion for the week ending Oct. 17, 2020.

M&A/Funding Transactions

Citizen expands in Mid-Continent with gas-rich $153M bolt-on acquisition

Deal Description: Tulsa-based Citizen Energy announced that it has entered into a definitive agreement with an undisclosed seller to pick up some gas-rich assets for $153 million, expanding its footprint in the Mid-Continent. The purchase price will be funded entirely out of existing liquidity within Citizen’s reserve-based lending facility, which was upsized to $850 million before the transaction. Warburg Pincus-backed Citizen expects the acquisition to be accretive to shareholder returns and crucial to building and maintaining its momentum as the largest private operator in Oklahoma.

Buyer’s Outside Counsel: Shearman & Sterling led by partners Nathan Meredith of Dallas and Todd Lowther of Houston, and including associates John Craven (Houston), Brody Hinds and Julia Pashin (both of Dallas).

Financial Advisor Counsel: Willkie Farr advised Warburg. The Willkie team was led by partner Michael De Voe Piazza and included associates Lynn Abell and Luke Tanner, all of Houston.

Notes: S&S’ Meredith – who came over from Thompson & Knight just last year – and Lowther – who also arrived from TK in 2018 – advised Citizen when it bought Blue Mountain Midstream, a unit of Riviera Resources Inc., for $111 million last year.

SilverBow agrees to buy Eagle Ford oil and gas assets from two sellers for $75M

Deal Description: Houston-based SilverBow Resources Inc. announced Oct. 11 that it entered into a definitive agreement to acquire oil-weighted assets in the Eagle Ford from two sellers for $75 million, including $45 million in cash and $30 million in equity. The acquired oil production represents a 30% increase to SilverBow’s current full year 2021 oil production guidance. The deal represents SilverBow’s third acquisition since the beginning of August and its largest to date.

Fintech trader merges with SPAC

Deal Description: TradeZero Holding Co., a U.S. and Bahamas-based trading platform aimed at self-directed traders, announced Oct. 12 that it is going public after combining with a Florida-based blank check company Dune Acquisition Corp. The combined company, to be known as TradeZero Global, is NYSE listed (“TRAD”) and is expecting at least $160 million in cash from Dune’s December 2020 IPO yield of $172.5 million. The combined company has an estimated enterprise value of $556 million. Dune is headquartered in New York.

Virgin Pulse Acquires Welltok

Deal Description: Richard Branson’s Virgin Pulse, a tech-enabled wellness company that modestly claims to be “changing lives” announced Oct. 7 that it is acquiring Welltok, a Denver-based tech-enabled consumer outreach company. Virgin Pulse is back by Marlin Equity Partners, a PE firm based in Los Angeles.

Seller Outside Counsel:  Welltok chose Shearman & Sterling, which fielded a team led from Austin by Carmelo Gordian. He was supported in Texas counsel Cassandra Cuellar (Austin) and associates John Kurtz (Dallas), Sara Prendergast (Dallas) and Ryan Bray (Dallas), as well as lawyers in New York, Menlo Park and Washington, D.C.

Daikin acquires Dynamic Controls

Deal Description: Daikin Applied Americas Inc. said Oct. 11 that it acquired Dynamic Controls Inc., a St. Louis-based building systems integrator supporting the facility management, engineering and construction industries across the Midwest and Rocky Mountains regions. Terms weren’t disclosed. The move brings a new set of capabilities to Daikin Applied, a division of Japan’s Daikin Industries Ltd., the world’s largest heating, ventilation and air-conditioning manufacturer.

Fortress-backed Mammoth Freighters invests in GDC Technics 

Deal Description: Fort Worth-based GDC Technics announced Oct. 8 that Mammoth Freighters, a Fortress Investments company, has made an equity investment in the company, completing its bankruptcy restructuring. GDC Technics is an aircraft modification and technology company that supports Boeing 777-200LR and 777-300ER passenger-to-freighter conversion programs. Terms were not disclosed.

Azul Resources closes equity commitment from Carnelian

Deal Description: Azul Resources announced Oct. 6 it closed an undisclosed equity commitment from Carnelian Energy Capital III, an investment fund managed by Houston-based Carnelian Energy Capital Management. Azul, a Houston-based company led by Zach Hart, Mason Lemmond, Amanda Darby, James Carroll and Kenna Hambor, is pursuing a natural gas-focused acquisition and development strategy. Before forming Azul, the team worked together at Haynesville-focused Indigo Natural Resources, the third largest private natural gas producer in the U.S. until its merger into Southwestern Energy. Carnelian partner Daniel Goodman said the wave of consolidation in the oil and gas industry, including the Haynesville Shale, provides an environment ripe for entrepreneurial and nimble companies to capture attractive assets and create value.

Oak Hill Teams with Bluesource for $500M JV on Carbon Offsets

Deal Description: Oak Hill Advisors, a New York-based alternative investment firm with $50 billion under management across performing and distressed credit-related investments, inked a $500 million joint venture with Bluesource. The new entity, Bluesource Sustainable Forests Co., will seek to purchase one million acres of North American woodlands that would otherwise be used for timber and manage the properties to generate forest offsets, tradable assets that represent up to a metric ton of carbon that has been sequestered in standing trees. The company believes the JV marks the beginning of an evolution in investments in sustainable forestry as well as the ongoing development of the carbon credit markets.

Oak Hill’s Outside Counsel: Paul Hastings led by Houston corporate partner Kfir Abutbul, co-chair of the firm’s energy transition and infrastructure team, and including associates Brady Lambeth and Andrew Heather.

Dallas-based Riata Holds Secondary GP Offering

Deal Description: Riata Capital Group, a Dallas-based private equity investment firm, announced the closing Oct. 4 of a GP-led secondary transaction for its portfolio company AEG Vision, an owner and operator of over 235 eyecare practices throughout North America. The transaction benefits investors in certain Morgan Stanley funds. No specific value was disclosed for the private placement.

Issuer’s Outside Counsel: RCG and AEG Vision tagged three different legal advisors for the transaction: Kirkland & Ellis, Ropes & Gray and Vinson & Elkins.

V&E was led by a mostly Texas team led by Dallas partner Mark Early, with assistance from associates Grace Ann Duquette and Claire Wenholz,also of Dallas. Advising on tax issues were partner Jim Meyer and associate David Gilbert; on compensation were DC partner Shane Tucker and Houston associate Maddison Riddick.

Jaguar Fund Acquires Mobile Telecommunications Provider in El Salvador

Deal Description: Jaguar Fund No. 1, through its subsidiary General International Telecom, has agreed to acquire the El Salvador operations of Spanish communications giant Telefónica. According to Developing Telecoms, an industry website, the purchaser of Telefónica Móviles el Salvador is backed by Atlantida Bank, acquiring all the outstanding stock of the company for $144 million.

Buyer’s Outside Counsel: Jaguar tapped Baker Botts for outside legal advice. The Baker Botts team was led by New York partner Jonathan Gordon and Houston senior counsel Bill Lamb. The BB team also included senior associate Grace Matthews from Austin, associates Carlos Marquez (Washington, D.C.), Maria Fuentes (Houston) and partner James Marshall (Houston). On tax matters the firm leaned on Houston partner Jon Lobb and senior associate Peter Farrell in DC.

California Prototype Manufacturer Goes Public vis De-SPAC Merger

Deal Description: San Francisco-based Tempo Automation announced Oct. 14 that it is taking the company public by merging with a blank check company, ACE Convergence Acquisition Corp. The new company will be known as Tempo Automation Holdings Inc. and traded on the Nasdaq exchange. The deal involves $391 million in gross cash proceeds, including $230 million from the ACE IPO trust and another $161 million in PIPE commitments. Tempo Automation investors and lenders already include Point72 Ventures Investments, Firsthand Funds, Lux Ventures, SQN Structural Partners and ACE Equity, an investment affiliate of the SPAC sponsor.

Seller’s Outside Counsel: Tempo Automation selected Latham & Watkins led from Houston by corporate partners Ryan Maierson and Thomas Brandt. The team also included Washington D.C. partner Patrick Shannon with Houston associates Bryan Ryan, Paul Robe, Chad Leiper and Ziyad Barghouthy, as well as lawyers from the firm’s Century City, Bay Area, Los Angeles and DC offices.

Enviva Simplifies Itself

Deal Description: In a simplification agreement aimed at corporate restructure, Enviva Partners announced on Oct. 15 that it has acquired 16 million common units — effectively, all ownership interest —in its general partner Enviva Holdings for $870 million. By acquiring the ownership and eliminating incentive distribution rights, the company is converted from a master limited partnership to a corporation, Enviva, Inc.

Notes: Maryland-based Enviva is a large scale manufacturer of wood pellets used as a coal replacement for power generation. Enviva owns and operates pellet plants across the southeastern U.S. Latham advised Riverstone on its part in the $1 billion recapitalization of Enviva in July 2020.

Indiana Firm Acquires 45% Stake in Houston Steel Products Producer

Deal Description: Steel Dynamics, a metal recycler and domestic steel producer headquartered in Fort Wayne, announced Oct. 14 that it is acquiring a 45% interest in New Process Steel. Richard Fant, CEO of NPS and son of the company’s founder, will retain his majority interest in the Houston firm.

Sunoco LP offers to purchase, sell notes

Deal Description: Sunoco LP announced a $800 million cash tender offer to purchase any and all of Sunoco LP’s outstanding 5.500% senior notes due 2026 as well as a concurrent high yield Rule 144A notes offering worth $800 million of 4.500% senior notes due 2030.

Dealer Managers’/Initial Purchasers’ Outside Counsel: Sidley, which was led by partners William Cooper, Jon Daly, and Johnny Skumpija (New York) with support from associates Kayleigh McNelis, Sabina Wahl, Tanner Groce and Haley Cambra. The team also included partners Heather Palmer (environmental) and Angela Richards (tax).

Clearway Energy amends, restates $775M credit agreement

Deal Description: ​Clearway Energy Group amended and restated its credit agreement with lenders with Natixis (New York branch) as administrative agent. The agreement boosted the term loan commitments to $175 million, increased the revolving credit commitments to $300 million and provides for a separate letter of credit facility with commitments of $300 million. Clearway is one of the largest owner-operators of wind, solar and energy storage projects in the U.S. with nearly 16 gigawatts across regulated and deregulated regions. Clearway owns the controlling interest in Clearway Energy Inc., a publicly traded energy infrastructure investor.
