Sixteen deals were reported to the CDT Roundup this week valued at $79.4 billion the second-highest weekly total recorded this year — or, if you prefer, the largest weekly total that didn’t involve SpaceX. Well, not exactly, as you’ll see.
The biggest deal of the week was the $66.8 billion merger of electricity providers NextEra and Dominion, aimed at creating the largest utility company on the planet. That’s news colossal on its own antitrust implications.
But a day later SpaceX and Elon Musk proceeded to photobomb the mega-utility closeup by making public the registration of its long-anticipated IPO. That deal is thus far unpriced, so its value remains a product of Musk’s seemingly limitless imagination — and not part of this week’s tally.
But the week also included a $5 billion commitment by Blackstone to a joint venture with Google Cloud for data center development, as well as a $4 billion sale of federal leases by the Bureau of Land Management.
Elsewhere there was a hazardous waste services deal, the closing of a $105 million venture energy fund, a reverse merger in pharmaceuticals involving migraine therapy, an acquisition by an upstart renewables developer, a new Trinity Hunt platform, two new strategic investments by Plano-based Argano, a pair of SPAC IPOs and a private equity investment in the Cleveland Browns.
All told, the week compared more than nicely with last week’s 12 deals for $6 billion, or even the 15-deals for $24 billion recorded at this time last year.

NextEra, Dominion Energy Merge in Stock Swap Valued at $66.8B
Deal Description: NextEra Energy and Dominion Energy announced on May 18 an agreement to merge in an all-stock transaction valued at $66.8 billion. Devon Energy acquires $2.6 billion in O&G leases in BLM sale
Deal Description: The Bureau of Land Management announced May 20 the sale of more than $4 billion in oil and gas leases on 33,530 acres of federal lands in the Permian Basin across West Texas and Eastern New Mexico. The deals involved bids on 74 individual parcels. Houston-based Devon Energy placed winning bids on 24 of those parcels and more than 16,000 acres with bids totaling $2.6 billion. The second-largest bid came from Federal Abstract Company, a New Mexico-based brokerage, which purchased 5,154 acres across six parcels for about $1.14 billion, presumably on behalf of buyers who wished to remain anonymous. The sale included a 12.5 percent royalty paid to the federal treasury for oil and gas produced on the parcels, reducing the 16.67 percent royalty introduced by the Inflation Reduction Act.
Blackstone invests $5B in new ‘compute-as-a-service offering’ venture with Google
Deal Description: Blackstone announced on May 18 an initial commitment of $5 billion in a new joint venture with Google to create a company that offers efficient data center capacity, operations, networking and Google Cloud’s tensor processing units, which are designed to accelerate machine learning and AI workloads. Google has used tensor processing units for about a decade and made them publicly available in 2018. Blackstone, the world’s largest asset manager with more than $1.3 trillion in total assets under management, said the new venture will provide “a compute-as-a-service offering” and give customers another option to access the tensor processing units in addition to using them through Google Cloud. Blackstone expects to bring the first 500 megawatts of capacity online in 2027, with plans to scale significantly. The company said Google will supply hardware, software and services to the new entity to meet the increasing demand for accelerated computing.

Clean Harbors buys Carolina waste services firm Terra Nova for $225M cash
Deal Description: Clean Harbors said on May 14 that it has acquired Terra Nova Solutions, a provider of hazardous and non-hazardous waste services in the Carolinas, for $225 million cash. Norwell, Mass.-based Clean Harbors said Terra Nova operates five wastewater treatment, solidification and waste processing sites that are expected to generate $45 million to $50 million of annual revenue and about $15 million of adjusted earnings before interest, taxes, depreciation and amortization. Terra Nova is a Crescentia Capital portfolio company. Clean Harbors provides waste management services and owns owns Safety-Kleen, the largest re-refiner and recycler of used oil in North America.

Mentari Therapeutics going public in reverse merger with InMed Pharmaceuticals
Deal Description: InMed Pharmaceuticals said on May 19 that it has agreed to a reverse merger with private biotech firm Mentari Therapeutics via a stock swap. Terms weren’t disclosed. The Vancouver-based drug maker said Mentari develops therapies for migraine prevention. Upon close, the combined entity will operate as Mentari Therapeutics and trade on Nasdaq under a new ticker symbol. Waltham, Mass.-based Mentari also announced a $290 million private placement led by Philadelphia investment firm Fairmount with participation from more than a dozen other firms. The companies expect proceeds to fully fund operations through 2028, providing enough of a runway “to aggressively compete in what we believe will be the next era of migraine prevention.”

Frontier Power USA acquires Texas battery energy projects from Bimergen
Deal Description: Frontier Power USA, a newly formed energy storage developer and investor, said on May 21 that it acquired a 480 MWh portfolio of battery energy storage system projects from Bimergen Energy Corp. Financial terms weren’t disclosed. The companies said Frontier Power will fund construction of three projects in Texas that are expected to start soon, pay Bimergen a development fee and cover transaction costs. Based in Pittsburgh, Frontier Power is backed by Eos Energy Enterprises and Cerberus Capital Management. Frontier Power USA will own 92.5 percent of the merged entity, with Newport Beach, Calif.-based Bimergen retaining 7.5 percent.

Arctos acquires minority stake in Cleveland Browns
Deal Description: On May 5, KKR closed its acquisition of acquisition of Arctos Partners, a private investment firm founded in Dallas in 2019 with a focus on owning professional sports franchises. On May 19, the Cleveland Browns said the NFL approved Arctos’ acquisition of a minority stake in the football team. Specific terms weren’t disclosed. In August 2024, NFL owners voted to allow PE firms to acquire up to 10 percent of a team, with the minimum stake of 3 percent. Arctos now owns at least three percent of the Browns, 8 percent of the Los Angeles Chargers and 10 percent of the Buffalo Bills. These three teams have zero Super Bowl wins between them.

Trinity Hunt launches landscaping platform with acquisition of Landscape Endeavors
Deal Description: On May 21, Dallas private equity firm Trinity Hunt Partners said that it has formed Elevation Landscape Group, a commercial landscaping platform. The formation was followed with Elevation’s acquisition of Landscape Endeavors, a commercial and residential landscaping operation, based in Colorado Springs, where Elevation will be based. Terms weren’t disclosed. Trinity Hunt Partners aims to replicate the success it had growing Visterra Landscape Group in the eastern part of the country.

Gibson Dunn guides SpaceX on potentially record‑shattering IPO
Deal Description: Elon Musk’s SpaceX filed a Form S-1 with the SEC on May 20 for the much-anticipated initial public offering that will most likely be the largest in the history of public stock markets that goes back at least to Philadelphia in 1790, or maybe under a tree on Wall St. in 1792, and possibly even as far back as Amsterdam in 1602. This IPO, thus far unpriced, is projected to be more than three times larger than the $25.6 billion raised Saudi Aramco in 2019 and the $21.8 billion raised by Alibaba in its 2018 IPO. Based in Starbase, in the southernmost past of the Lone Star State, SpaceX is advised by Gibson, Dunn & Crutcher capital markets partners George Sampas in New York and Hillary Holmes, Harrison Tucker and Atma Kabad in Houston. Par Pacific Holdings boosts Wells Fargo revolving credit line to $1.8B
Deal Description: Par Pacific Holdings announced on May 14 that it increased an asset-based revolving credit facility with Wells Fargo Bank to $1.8 billion. The Houston energy company said the credit is guaranteed by assets of its Par Petroleum unit that recently issued $500 million of notes in a private placement. The company used cash and proceeds from the transactions to repay and terminate a Par Petroleum term loan due 2030.

DP Red River issues $850M of notes in private placement
Deal Description: DP Red River, a unit of Birmingham, Ala.-based Diversified Energy, said on May 13 that it privately issued $590 million of 6.016 percent notes due 2046 and $260 million of 6.91 percent notes due 2046. The upstream oil and gas company plans to use proceeds to repay notes due 2038. DP Red River operates in the Western Anadarko Basin of Texas and Oklahoma.

Deal Description: GSR V Acquisition Corp. announced on May 15 that its initial public offering of 23 million units priced at $10 each. On May 1, Zayo Group Holdings, a private, Denver-based digital infrastructure provider, said that it closed the acquisition of Crown Castle’s fiber network business for $3.7 billion that was first announced in May 2025. Crown Castle is a Houston-based shared communication infrastructure company. Zayo said the acquisition further scales its fiber networks, “strengthening the digital infrastructure backbone for the next wave of AI growth,” by adding about 90,000 route miles and 40,000 on-net enterprise locations to Zayo’s network. Jones Day represented Zayo led by J. Bruce McDonald from Houston.
On May 4, Midland-based Viper Energy said it agreed to acquire Riverbend Oil & Gas IX for $337 million cash and about 3.7 million common shares. Viper said the acquired assets include about 3,064 acres, evenly split between the Midland and Delaware Basins. The company expects to close the deal early in the third quarter. Latham & Watkins represented Viper with a team lead by Chris Heasley and Ryan Lynch in Houston and Zach Podolsky in New York. Haynes Boone said on May 20 that its restructuring team advised LYCRA Co. on a court-approved Chapter 11 plan that will eliminate about $1.2 billion in debt for the spandex and specialty fiber manufacturer.
