Capital markets veteran Charles Haag has joined Paul Hastings in Dallas from Winston & Strawn. He will focus his practice on CapM transactions, corporate governance matters, securities law compliance and public company advisory work, according to a news release. Also joining the firm in the same practice group as Haag is Justin Reinus in Paul Hastings’ Orange County office.
“Paul Hastings is a great fit from a practice mix and strategy perspective,” Haag told The Texas Lawbook. “The industries where we focus are the same industries where Paul Hastings is focusing right now, including REITs and real estate. We were very excited by the opportunity to join a firm with a premier and growing capital markets practice.”

Before joining Paul Hastings, Haag served as co-chair of Winston & Strawn’s public company advisory practice, where he worked for eight years. He advised clients on public and private equity and debt offerings, tender offers, spinoffs, reorganizations and M&A. Prior to that, Haag was at Jones Day from 1996 to 2017.
“The addition of Charlie and Justin further elevates our capital markets, public company advisory and cross-practice REIT platforms with premier talent who act as the trusted advisors to boards and the c-suite of public and private clients on their most sophisticated and complex matters,” said firm chair Frank Lopez in the release. “Their arrival is an instrumental next step in continuing our strategic build in Texas.”
Paul Hastings recorded $200.5 million in Texas revenue last year, placing it 19th in the state. The firm ranks 36th in Texas lawyer headcount with 96, according to the Lawbook 50.
“The Texas market is very hot right now in the capital market space, and the state has become a destination for public companies,” said Haag. “Practices that support those companies are in a great place if they’re in Texas, and I think that’s why Paul Hastings is so focused on growing its offices and practices here.”
AREAS OF FOCUS
Haag advises public and private companies on public and private equity and debt offerings, tender offers, spin-offs, reorganizations and mergers and acquisitions, according to the release. He also represents clients in corporate governance matters including fiduciary duties and SEC filings. His experience spans REITs and real estate, consumer products, energy, retail, technology, construction and financial services.
