By almost any measure, 2021 was a pretty good year. The Dow Jones Industrial Average, a stock market index that tracks 30 key companies, opened the year at 30,829 and closed it nearly 18% higher. West Texas crude prices started at $47 per barrel and ended the year above $75. Pick your business sector and it probably did pretty well, especially given delta, omicron and all the uncertainty attached to a few letters of the Greek alphabet.
But maybe the most impressive jolt came in the return of the IPO.
According to PitchBook, more than 1,000 companies (1,043 as of Dec. 13) hit the public markets in 2021, raising over $306 billion in the process. That’s nearly double the IPO deal count of 523 in 2020. And the juice for the rise, if not the reason, can be found in the proliferation of blank check companies.
By PitchBook’s count, there were 175 SPAC mergers in 2021 for a total deal value of $63 billion, more than the total raised by all U.S. IPOs in 2019.
SPACs have gained a somewhat jaded reputation, as a number of them have failed to produce de-SPAC mergers. Big numbers for some of the post-SPAC IPOs, particularly in the EV-related sectors, have generated concerns about unfounded expectations, the kind that undermine markets.
But PitchBook makes the case that SPACs are simply one cog in one corner of a market sector that had simply been underutilized.
Between 2016 and 2019, for instance, there were only 1,116 IPOs — less than 2021 alone. And fueling that increase has been a surge in venture capital exits. VC-backed companies that went public accounted for $840 billion of the $1.22 trillion in exit value. The result: Public markets get new products for their money, and VC firms more liquidity to invest in new firms that continue to fuel the cycle.
There are legitimate questions whether the pace is sustainable, or that it has already slowed. But for now, the snapshot shows only gains. As PitchBook notes, quoting an old Wall Street saying: “When the ducks are quacking, feed them.”
Traffic in the roundup was light last week, a week between holidays. There were only nine deals worth $1.274 billion reported — all of them M&A transactions — involving six firms and 50 mostly-Texas lawyers. Although that’s a bit off the 21 deals for $4.7 billion the week before, it’s about par for the final week of the year. Last year there were seven deals reported for about $1.5 billion.

Texas biofuel provider Darling Ingredients acquires Valley Proteins Inc.
Deal Description: Darling Ingredients, one of the world’s most prolific producers of organic fat and oil products, as well as sustainable energy products, announced Dec. 28 that it is purchasing all the outstanding stock of Virginia-headquartered Valley Proteins Inc., a leading producer of biofuel ingredients from recycled restaurant cooking oils, as well as meat and chicken rendering plants. The price: $1.1 billion.
Besides it biofuels business, Darling produces a variety of specialty products — including hydrolyzed collagen, feed-grade fats, plasma and pet food — from recycled biowaste.
“In the evolving world of ESG and global decarbonization, Valley Proteins will supplement Darling’s global supply of waste fats and greases, said Randall Stuewe, chairman and CEO of Darling. “The new supply will now provide Darling with additional low carbon feedstock to produce renewable diesel and potentially sustainable aviation fuel.”
Darling Outside Counsel: Sidley Austin was tapped by Darling Ingredients to advise on the deal. The Sidley team was led from Dallas by partners Aaron Rigby (M&A and Private Equity) and Tara Lancaster (Tax), along with Chicago senior counsel David Siegel (Real Estate). Other Dallas-based lawyers on the Sidley team included associate Claire Grace, senior managing associate Jocelyne Kelly, associate Ellen Heighten, partner Angela Fontana, partner Eric Winwood, counsel Marian Fielding, partner Lauren Grau and associate Zach Johnston. Partner Heather Palmer and associate Allen Braddock pitched in from Houston, while partner Margaret Allen advised from Singapore and Dallas.
Notes: The purchase comes at a critical time for Valley Proteins. In December, a Valley Proteins plant in Maryland, one of its 18 plants and collection centers nationwide, suspended operations at one of their chicken rendering plants after state inspectors raised pollution concerns. According to the Baltimore Sun, the plant had come under scrutiny following the approval of $13 million subsidy to upgrade the plant’s wastewater system. The funds were later rescinded.
Kohlberg unit EN Engineering acquires G2 Integrated Solutions
Deal Description: EN Engineering, a unit of Kohlberg & Company, announced Dec. 20 that it has acquired Houston-based G2 Integrated Solutions, an integrity and compliance consultant specializing in gas and electric infrastructure assets. The company specializes in the integration of geographic data to monitor performance efficiencies and risk management in large scale oil, gas and utility systems. Terms of the deal were undisclosed. EN Engineering is based in Warrenville, Illinois.
Outside Legal Counsel: McGuireWoods partner Jeff Brooker advised EN Engineering along with Dallas associates Gerrard Faulkner and Ryan Durham.
Traditions Health acquires Georgia hospice provider
Deal Description: Texas-based Traditions Health, a portfolio company of Dorilton, announced Dec. 1, it has acquired Homestead Hospice, a final healthcare provider based in Roswell, Georgia. Terms of the deal were undisclosed. The acquisition provides College Station-based Traditions with a broader footprint in the Southeast with locations now in 17 states. Dorilton is based in New York but has offices in Houston and London.
Outside Counsel: Jones Day partner Joe Hatina advised Dorilton and Traditions from Cleveland.
Serata Capital Partners acquires Page Publishing
Deal Description: Serata Capital Partners announced Dec. 22 its acquisition of Page Publishing Consortium, a group of more than 10 brands that provide publishing services to authors, including self-published books available on Amazon, Apple and Barnes & Noble websites. Terms of the deal were undisclosed. Located in Austin, Serata specializes in business services, as well as media and consumer companies.
Outside Counsel: McGuire Woods advised Serata with a deal team led by Dallas partner Stuart Rasley, and included associates Ryan Durham and Erin Ball, also of Dallas.
Notes: Serata’s managing partner is Drew Bagot, who also manages a private equity portfolio at Calidant Capital, which he co-founded. He’s a product of UT Austin’s McCombs School of Business and the Johnson School of Management at Cornell.

Deal Description: Bluejay Capital announced Dec. 22 that it had completed the acquisition of Pacific West, a rail and industrial services business. Terms of the acquisition were undisclosed. Based in Salt Lake City, Pacific West specializes in the construction and maintenance of railroad fuel sites, wastewater treatment facilities, security fencing and other railyard facilities. Bluejay is headquartered in Jacksonville, Florida.
Deal Finance: Southfield Mezzanine provided debt and equity co-investment.

Macquarie buys Mexican pipeline for $173.8M
Deal Description: MIP IV Holdings, a unit of Macquarie Group, will acquire pipeline assets in Central Mexico owned by Enagás Internacional. Enagás and Elecnor signed an agreement to sell the Mexican companies Gasoducto de Morelos and Morelos O&M to Macquarie for $173.8 million, according to online publication Today in 24. Gasoducto de Morelos and Morelos O&M are owners and operators of a 172-kilometer gas pipeline in the states of Morelos, Puebla and Tlaxcala.

South Carolina’s IPS acquires National Switchgear and National Field Services
Deal Description: Integrated Power Services, an electrical equipment service and engineering firm, announced Dec. 27 that it has acquired Texas provider National Switchgear and National Field Services. Based in Lewisville, National Switchgear is a third-party services firm that specializes in switchgear rebuilds, remanufacturing and upgrades, as well as installation, commissioning and field services. Terms of the deal were undisclosed.
Outside Legal Counsel: IPS, headquartered in Greenville, South Carolina, was advised by Jones Day on the deal from Columbus, Ohio, by partner Ashley Gullett.
Community Energy Solar sells to AES
Deal Description: Community Energy Solar agreed to be sold to AES Corp., AES announced Dec. 20. Terms were not disclosed. The Radnor- and Boulder-based target, which has backing from SJF Ventures of Durham, N.C., has a 10 gigawatt portfolio of development assets. After merging with Community Energy, AES’ U.S. renewables portfolio will include 4.4 gigawatts of operating assets and 5.7 gigawatts of signed power purchase agreements. The merger brings AES’ U.S. solar development pipeline to more than 40 gigawatts.

Utah PE firm and plastics provider partner up
Deal Description: Banner Ventures, a PE firm based in Utah, announced a new equity partnership with Premier Plastics, a Salt Lake City specialty packaging provider. Terms of the agreement were undisclosed. The firm focuses on medical devices and consumer packaging. Also involved in the investment was Seventeen Capital, an investment vehicle for healthcare venterans Ron Labrum and Tony Orsini.
Financial Advisors: Financing for the deal was provided by Key Bank.
Outside Legal Counsel: David McLean, a partner at McGuireWoods in Dallas, advised Banner on the deal with help from Dallas associate Dami Oguntade.
