Global M&A rebounded last year to an all time high of nearly $5 trillion and North American deals also reached a record $2.7 trillion, according to PitchBook.
Strong public equity markets fueled the resurgence, the data firm said, reflecting business confidence and providing the swelling ranks of public companies with increased buying power. It highlighted activity in financial services, healthcare, technology and even the energy, materials and resources sectors as improving.
With inflation persisting, supply chain and labor shortages continuing and stock markets recently faltering, PitchBook is watching to see whether M&A activity slows in 2022. It notes, however, that companies use M&A to navigate technological change and the growing importance of themes around ESG, or environmental, social and governance.
“Unprecedented PE [private equity] fundraising, especially by the largest funds, also puts a floor under M&A activity,” PitchBook said.
Dealmaking for the week ending Jan. 29 continued at a perfect three-bears-porridge pace — not too hot, but not too cold — with 11 deals for $3.9 billion, all of them M&A transactions. Although that pace compares reasonably with 13 deals for $5.1 billion the week before, it falls well off the post-pandemic (or so we thought) breakout of 18 deals at $9.5 billion during the last week of January 2021.

Chesapeake acquires Chief for $2.65B
Deal Description: As expected, Chesapeake Energy Corp. announced Jan. 25 plans to acquire Chief E&D Holdings and associated non-operated interests held by affiliates of Tug Hill Inc. for $2 billion in cash and about 9.44 million shares. Three law firms in Texas — Gibson Dunn, Shearman & Sterling and Akin Gump — advised on the deal. Read more about the transaction here.
Enerflex buys Exterran for $735M
Deal Description: Enerflex Ltd. announced Jan. 24 it acquired Exterran Corp. for $735 million. The deal, which Enerflex claims will create a top integrated global provider of energy infrastructure, values the combination at $1.5 billion. The company will operate as Enerflex and will remain headquartered in Calgary. Through greater scale and efficiencies, Enerflex said the transaction will strengthen its ability to serve customers in natural gas, water and energy transition markets while enhancing shareholder value through sustainable improvements in profitability and cash flow generation. The transaction is expected to close in the second or third quarter once it clears Exterran’s and Enerflex’s stockholders and regulators.

Generate Capital sells Ubiquity networks, launches new $400M JV
Deal Description: Digital infrastructure providers Generate Capital and Ubiquity Management announced a pair of transactions Jan. 19 that involved the sale of Ubiquity and its existing fiber networks in Texas and California, and the creation of a joint venture to fund and finish development of its contiguous networks. The two companies plan to pair their expertise to create an infrastructure-as-a-service model for municipal development with the $400 million from Ubiquity’s controlling stockholder, Montage, an affiliate of 1248 Holdings.

T-REX Group pulls $40M in Series C funding
Deal Description: T-REX Group, a complex asset management software-as-a-service provider, announced Jan. 26 that Riverstone Holdings led a Series C funding round of $40 million that inclded participation by existing shareholders Citi, ClearSky, Westly Group, Viola FinTech and the Partnership Fund for New York City. Based in Israel, the T-REX SaaS platform allows advanced deal structuring, cash flow modeling and scenario analysis, while allowing the more fundamental elements of real-time tracking and reporting. T-REX maintains that the tools will allow greater flexibility to deploy capital more easily into sustainable, de-carbonization assets.

W&T Offshore picks up producing properties in the Gulf of Mexico
Deal Description: Houston-based W&T Offshore Inc. announced Jan. 10 that it has entered into a definitive purchase and sale agreement to acquire working interests in and operatorship of oil and gas producing properties in Federal shallow waters in the central region of the Gulf of Mexico from privately-held ANKOR E&P Holdings Corp. and KOA Energy for $47 million in cash. The acquisition includes 53 producing wells and 16 structures. The deal is anticipated to close by the end of the first quarter.

Silver Hill buys properties in the Eagle Ford
Deal Description: Silver Hill Eagle Ford E&P, an affiliate of Silver Hill Energy Holdings, closed Jan. 18 its purchase of oil and gas properties in South Texas’ Eagle Ford. Terms and the name of the seller were undisclosed.

Entek acquires Adaptive Engineering & Fabrication
Deal Description: Locke Lord said Jan. 14 it counseled Entek Manufacturing on its Jan. 3 acquisition of Placentia, California-based Adaptive Engineering & Fabrication, a supplier of material handling systems specializing in difficult-to-handle and convey materials. Terms of the transaction were not disclosed. AEF and Entek have partnered on projects and worked together as customer and supplier for many years. Combining the companies was a natural next step in the relationship and an opportunity to provide a more streamlined platform for customers, Entek said. All AEF employees will stay with the company and Rick Buschini and Chuck Nadolski will continue to lead the sales, development and installation of material handling equipment with the support of Entek.

eLearning Brothers to acquire Rehearsal
Deal Description: Utah-based eLearning Brothers announced Jan. 13 that it is acquiring Rehearsal, a video training and coaching platform that allows users to practice and develop their skills. The transaction, whose terms were undisclosed, cements an already existing arrangement in which Rehearsal has been integrated into eLearning’s Rockstar Learning Platform. Since 2015 Rehearsal has been used by employees and executives at Paychex, 3M, Stryker and Takeda for in-house training. Rehearsal is located in Reno, Nevada. eLearning is a portfolio company of Trinity Private Equity Group.

Deal Description: Interlock Equity announced Jan. 13 that it has funded a growth investment in Apply Digital, a company that builds the digital presence of other companies by providing creative computerization, mixed reality experiences, streaming and blockchain. Based in Vancouver, BC, Apply Digital has 230 employees in the U.S., Canada, Mexico and the Netherlands. Interlock, a private equity firm that focuses on knowledge-based businesses, is headquartered in Los Angeles. Terms of the transaction were undisclosed.

Revelstoke Capital acquires two health groups
Deal Descriptions: Revelstoke Capital Partners announced the acquisition of two health groups within a week of each other. On Jan. 18, the Denver-based PE said it had acquired HealthAxis Group, a Tampa-based company that provides technology for advanced analytics to healthcare payors. Terms of that deal were undisclosed. A week earlier, Revelstoke announced the recapitalization of Crossroads Treatment Centers, a behavioral health provider headquartered in Greenville, SC. Terms of the deal were also undisclosed, but the re-investment was made alongside Caisse du dépôt et placement du Quebec and members of the company’s management.
Revelstoke Outside Counsel: McGuireWoods advised Revelstoke on both deals. On the Crossroads transaction, the firm team was led from Houston by partner Janice Suchyta with Houston associates Monique Pena, Wendy Wright and Alexis Reynolds, along with Raleigh associate Dewey Bennett.
