Last year was a year of records, and U.S. private equity was no exception. Deal value hit $1.2 trillion in 2021, 64% higher than the previous record from 2019, according to PitchBook. Deal count also hit records at more than 8,600, beating 2019’s record by 50%.
The blistering pace of activity helped drive a boom across all deal sizes, sectors and types, PitchBook said. A hot sale environment also culminated in more than 1,700 exits totaling more than $850 billion, benefitting from high transaction and public market multiples.
The initial public offering of TPG Inc. portends continued activity. The Fort Worth-based private equity firm, like Blackstone and KKR before it, wants to be able to raise more money so it can buy and back more companies. It priced last week at $29.50 a share, the midpoint of its expected range, valuing the enterprise at $9 billion. TPG rose 15% in first-day trading to close at $34; the stock was trading off that high on Friday at $33.
PitchBook said 2021 was also perhaps the best year yet to raise a private equity fund and that 2022 may be even better, what with limited partners continuing to lift their private market allocations expecting lower public equity returns beginning in 2022.
For the week ending Jan. 15, firms reported to The Roundup a total of 11 deals valued at $7.6 billion that involved nine unique firms and 155 mostly Texas lawyers. The deal totals included nine M&A deals for $6.5 billion and three capital markets transactions for just over $1 billion.
The week prior, there were 13 deals for $8.3 billion, and a year ago at this time there were 17 deals for $6.8 billion.

Enterprise buys Warburg-backed Navitas for $3.25B
Deal Description: Navitas Midstream Partners Holdings announced Monday, Jan. 10, the sale of all of its interests in the Woodlands-based Navitas Midstream Partners to an affiliate of publicly traded Enterprise Products Partners for $3.25 billion in cash. Navitas is a portfolio company of funds managed by private equity firm Warburg Pincus. Check out the details of the deal here.
Desert Peak, Falcon to combine in $1.9B merger
Deal Description: Kimmeridge Energy-backed Desert Peak Minerals and publicly traded Falcon Minerals Corp. of Houston announced Wednesday, Jan. 12, that they agreed to combine in an all-stock transaction that values the entire enterprise at $1.9 billion. Five law firms in Texas, White & Case, Latham & Watkins, Vinson & Elkins, Kirkland & Ellis and Gibson Dunn, advised the various parties. To read more about the transaction, click here.
Monster acquires CANarchy Craft Brewing Collective for $330M
Deal Description: Monster Beverage Corp., makers of the eponymous caffeine-and-sugar-laden energy drink, announced Jan. 13 that it is acquiring the CANarchy Craft Brewing Collective LLC for $330 million in cash. CANarchy is a group of locally-branded breweries, including the Deep Ellum brand in Dallas, as well as brands in Park City and Salt Lake City (Utah), Grand Rapids (Michigan), Tampa (Florida) and Longmont and Boulder (Colorado).
CANarchy Outside Counsel: Latham & Watkins with a team led from New York by Alex Kelly and Paul Kukish.
Monster Beverage Outside Counsel: Jones Day advised Monster with a team led from New York that included Demetra Karamanos, Andy Levine and Carly Schiff.
Sellagic sells STOA a 30% stake in Dominican wind farm plant
Deal Description: Sellagic Investments sold STOA SA a 30% stake in Poseidon Energia Renovable, the owner, developer and operator of the Guzmancito wind farm power plant in Luperon in the Dominican Republic. The 48.3-megawatt first phase of the Guzmancito project was commissioned in December 2019 and its second phase, which will almost double its capacity, recently began construction. Guzmancito supports the Dominican Republic’s commitment to the development of renewable energy projects and grid stability.
Sellagic’s Outside Counsel: White & Case led by partner Sean Goldstein in Miami and partner Rodrigo Dominguez in Houston. The team also included partner Emilio Grandio in Houston, associates Chris Delp and Camille Mendoza in Miami and local partner Juan Ruenes in Mexico City.
Notes: White & Case said its involvement on the Guzmancito project dates back to 2018 with its representation of PER in the drafting and negotiation of the turbine supply and operation and maintenance contracts with Vestas for phase 1 of the project. For the partnership with STOA and phase 2 of Guzmancito, W&C advised on the drafting and negotiation of the investment and shareholders’ agreements with STOA and the turbine supply, construction and operation and maintenance contracts.
Arlington orthopedic group sold to A&M Capital
Deal Description: Connecticut-based A&M Capital, the flagship investment group of Alvarez & Marsal announced Jan. 12 that its portfolio group, Novum Orthopedic Partners had completed the acquisition of three previously independent orthopedic groups in Texas: Arlington Orthopedic Associates; Abilene Sports Medicine & Orthopedics and Waxahachie Orthopedic and Sports Medicine.
In conjunction with the transactions, Novum also invested in two leading surgical facilities, including the Abilene Center of Orthopedics and Multispecialty and Baylor Scott & White Orthopedic and Spine Hospital at Arlington–a joint venture between Baylor Scott & White Health, United Surgical Partners International and AOA, in which Novum has established a minority ownership position.
The deals were closed on Dec. 29.
A&M Capital Outside Counsel: McDermott Will & Emery
Arlington Orthopedic Associates Outside Counsel: Morgan, Lewis & Bockius advised Arlington Orthopedic with a team led from Dallas by partner Janice Davis. The team included New York partners Jon Morris and Richard Zarin, and associates Lauren Hutton-Work (Houston), Kelsey Warren (Houston) and Molly O’Brien (Philadelphia), along with other colleagues from across the firm.
WM, Tailwater Capital invest in Continuus Materials through JV
Deal Description: On Jan. 13 Dallas-based Tailwater Capital acquired an interest in Continuus Materials with Waste Management through a newly formed joint venture controlled by Waste Management Inc. unit WM Organic Growth and Tailwater. Terms weren’t disclosed but the parties said the interest was significant. Continuus coverts discarded plastic and fiber material into engineered building products. Among other offerings, Continuus makes Everboard, a commercial roofing material made of paper and plastic. The investment will help Continuus develop additional facilities at WM sites and the first full-scale municipal solid waste-to-Everboard production plant, which will produce 150 million square feet of Everboard annually within the first three years.

Mizuho Securities acquires Capstone Partners
Deal Description: Mizuho Americas, the North American advice and placement unit of Japan’s Mizuho Financial Group, announced Jan. 11 that it is acquiring Capstone Partners, the middle-market placement agent headquartered in Boston. Terms were undisclosed.

Giampaolo Group acquires Ohio Valley Aluminum
Deal Description: Matalco, a Canadian extrusion billet producer, announced that it has completed the acquisition of Ohio Valley Aluminum, based in Shelbyville, Kentucky. Both companies produce billets, square or cylindrical units of aluminum, that are fashioned, or extruded, into usable parts for use in the manufacturing process. Matalco is a unit of the Giampaolo Group, a Toronto-headquartered global manufacturing firm.

Akin Gump Advises Crestline Investors in Closing of Second Portfolio Financing Fund
Deal Description: Fort Worth’s Crestline Investors, a credit based institutional asset manager, announced Jan.11 that it had closed its second fund with $1 billion in commitment and what the company described as “additional overflow interest.” The investors included large public pension funds, endowments, insurance companies and sovereign wealth funds. Specializing in net asset valuation credit facilities, Crestline typically lends to PE firms in need of liquidity for growth and support for strategic initiatives.

Range Resources offers $500M in senior notes
Deal Description: Fort Worth-based Range Resources Corp. said Jan. 13 it priced an offering of $500 million in senior notes due 2030, which will carry an interest rate of 4.75%. The company expects that the net proceeds will be about $492 million. Range intends to use the net proceeds together with cash on hand and borrowings under its bank credit facility to redeem all of its outstanding 9.25% senior notes due 2026. Range expects to close the sale of the notes on Feb. 1.

Calumet prices $325M in senior notes
Deal Description: Calumet Specialty Products Partners and its wholly-owned subsidiary Calumet Finance Corp. announced Jan. 12 the pricing of their private placement of $325 million in 8.125% senior notes. The notes mature on Jan. 15, 2027 and will be issued at par. The offering, which is expected to close on Jan. 20, was upsized to $325 million from $300 million. Calumet intends to use the net proceeds together with cash on hand to fund the previously announced redemption of all of its outstanding 7.75% senior notes due 2023 and pay related expenses.

NETSTREIT common stock offer upsized to $200M
Deal Description: NETSREIT, a Dallas-based real estate trust, announced Jan. 10, that it priced its offering of 9 million common shares at $22.25 per share, or $200.25 million. The company, as its name implies, specializes in long term net lease real estate transactions involving single-tenant properties. The company has a 40-state portfolio of locations for convenience stores, pharmacies and big box retail tenants including: 7-Eleven, CVS, Dollar General, Walmart, Lowe’s and Home Depot. The offer closed on Jan. 13.
Underwriters: BofA Securities, Citigroup, Stifel and Wells Fargo Securities are the book-running managers and representatives of the underwriters for the offering. Jefferies, KeyBanc Capital Markets, Truist Securities and Berenberg are joint book-running managers.
