Last year, U.S. M&A in the upstream – industry jargon for oil and gas exploration and production – experienced $58 billion transacted in 160 deals, including $13 billion from 26 deals in the fourth quarter, according to a report out last week from Enverus Intelligence Research.
Despite the big totals, 2022 was not a good year. The data firm said that deal values were down just about 20 percent from pre-pandemic averages. To top it off, the volume of transactions collapsed to a nearly two-decade low as activity has been driven by large companies targeting the highest quality assets in billion-dollar-plus deals.
“Large-cap public companies like Devon Energy, Diamondback Energy and Marathon Oil dominated deal activity in the back half of 2022,” said Andrew Dittmar, director at Enverus. “These buyers have the balance sheet strength and favorable stock valuations to take advantage of large, high-quality offerings from private sellers.”
Dittmar explains that these large companies can strike deals that are accretive to current cash flow and extend their runway of drilling locations.
“For smaller companies, which are still having their equity value discounted, it is challenging to thread the needle of buying assets at accretive multiples and being able to pay for inventory,” he said.
The top five deals of the fourth quarter included the Hamm family taking Continental Resources private for $5.2 billion (counseled by Vinson & Elkins).
The rest were property deals, including Marathon Oil buying Ensign Natural Resources for $3 billion (assisted by Texas lawyers from Sidley and White & Case), two Midland Basin acquisitions by Diamondback for $3.1 billion (with help from Kirkland & Ellis, Vinson & Elkins, Akin Gump and Weil) and the Sable Offshore/ExxonMobil deal for $625 million (with counsel from Latham & Watkins and Bracewel).
“E&Ps of all sizes have proven to investors they can be profitable and pay dividends,” Dittmar said. “Now the key question is how long they can sustain profitable margins, determined by commodity prices, which they can’t control, and the quality of their drilling opportunities, which they can control, at least to an extent.”
Private equity sellers have accounted for most of the assets on the market in recent years, and Enverus anticipates that trend continuing.
There are a few options available for small cap companies struggling to secure inventory in the current market, Dittmar noted.
“Corporate M&A hasn’t been a significant part of the market since 2020, but we could see a return to public company deals this year either from small companies combining in mergers of equals to build scale and hopefully get a higher multiple on their stock or selling to larger competitors that already trades at a premium valuation.”
The Hamm deal was a unique situation, of course, but there are a few others could be in the same position, including Comstock Resources, largely owned by Jerry Jones, or, on a larger scale, Berkshire Hathaway trying to consolidate Occidental Petroleum as a private investment.
Overall, Dittmar says, the need for public companies to secure inventory is likely to keep the M&A market active in 2023.
“The challenge for deals, as is often the case in this industry, will be bridging the bid-ask spread and navigating commodity price volatility,” he said. “Oil prices are likely to be steady or rising during the first half of the year while gas struggles, meaning more oil deals and fewer for gas to start 2023. However, we could see interest in buying gas assets mid-year to take advantage of low prices ahead of a U.S. LNG export ramp that will eventually drive gas higher.”
Deals reported during the last full week of January (the week ending Jan. 28) were scant, both in volume and value with seven transactions worth $2.18 billion, five if them M&A (valued at $1.7 billion). These are not far off the 11 weeks for $3.8 billion the week prior, but well off the 17 deals for $5.8 billion this time last year.

Matador buys EnCap-backed Advance Energy for initial $1.6B
Deal Description: Dallas-based Matador Resources Co. announced Jan. 24 that a subsidiary agreed to acquire EnCap Investments-backed Advance Energy Partners Holdings for an initial cash payment of $1.6 billion, expanding Matador’s holdings in the area. Longevity Biomedical, SPAC Denali Capital agree to merge in $85.4M deal
Deal Description: Denali Capital Acquisition Corp., a publicly traded special purpose acquisition company, announced Jan. 26 a definitive business combination agreement with Bothell, Wash.-based Longevity Biomedical Inc., a biopharmaceutical company focused on advancing new technologies across therapeutics, health monitoring and digital health solutions. The transaction represents an equity valuation of about $236.2 million and the estimated cash proceeds available to the combined company consists of Denali’s $85.4 million of cash held in trust. The proceeds will be used to complete a Phase 3 study for LBI-201, complete a Phase 2 study for LBI-001, complete a Phase 2 and initiate a Phase 3 study for LBI-101 and complete the formulation and pre-clinical studies for LBI-002. The merged company may seek a $30 million pre-transaction PIPE that is expected to close concurrently with the completion of the transaction. Before closing, Longevity entered into contribution and exchange agreements with Cerevast Medical Inc., Aegeria Soft Tissue and Novokera to buy the companies. At closing, the combined company will operate as Longevity Biomedical and is expected to list on Nasdaq under the ticker symbol “LBIO.”

Deal Description: Grazzy, an Austin-based next-gen employee payments platform, announced Jan. 23 $4.25 million in seed funding from Next Coast Ventures and Tuesday Capital to fuel expansion and growth. The completion of the round brings Grazzy’s total seed funding to $6.8 million. Suppli raises $3.1M led by Equal Ventures
Deal Description: Austin-based Suppli, a digital accounts receivable platform for the construction industry, announced Jan. 26 it raised $3.1 million in seed funding. Equal Ventures led the round with participation from Audacious Ventures, Dash Fund, Chase Gilbert, CEO of Built Technologies, and Ali Javid, CEO of Wrapbook. The financing will allow Suppli to expand its team and products with new features in 2023. While more than $500 billion of construction materials are sold in the U.S. each year, Suppli said many vendors rely on manual paperwork, homemade spreadsheets or dated software that don’t address the workflows of the industry or meet the demands of an increasingly digital customer base –– and more than 40 percent of suppliers don’t offer online payment. Suppli empowers construction credit and finance professionals tools to manage accounts more efficiently, freeing them to focus on customer service, particularly critical given today’s tight labor market. Suppli’s co-founders – including Ryan Ayers – previously ran a Texas material distributor. Since publicly launching in the fourth quarter of 2022, Suppli’s customer count is in the double digits and material suppliers across the country, from lumberyards to insulation contractors, are using the platform to power credit and payments for their combined 50,000-plus customers.

Clearlake sells majority stake in FloWorks to Wynnchurch
Deal Description: Clearlake Capital Group announced Jan. 24 it completed the sale of a majority interest in FloWorks International to Wynnchurch Capital. Terms weren’t disclosed. Clearlake will keep a minority stake in the business. FloWorks is a flow control distribution platform providing solutions focused on non-discretionary maintenance, repair and replacement activities. Under Clearlake, FloWorks completed seven strategic acquisitions The new investment and recapitalization by Wynnchurch will help the company to continue executing on its organic and acquisition expansion plans.

Sun Communities prices $400M in senior notes
Deal Description: Southfield, Mich.-based Sun Communities Inc., a real estate investment trust that owns and operates or has an interest in manufactured housing communities, recreational vehicle communities and marinas, announced Jan. 9 that its operating partnership, Sun Communities Operating, priced a public offering of $400 million in 5.700% senior notes due 2033. The public offering price was 99.729 percent of the principal amount for an effective yield to maturity of 5.736 percent. The notes will be senior unsecured obligations of the operating partnership guaranteed fully and unconditionally by the company. The offering closed Jan. 17. The operating partnership intends to use the net proceeds to repay borrowings outstanding under its senior credit facility, to fund possible future acquisitions of properties and for working capital and general corporate purposes.

TXO Energy raises $88M in IPO
Deal Description: MorningStar Partners, which will be renamed TXO Energy Partners,, announced Jan. 26 the pricing of its initial public offering of 5 million common units representing limited partner interests. It was the first IPO of a master limited partnership taxed as a partnership since 2017. TXO granted the underwriters an option to purchase up to 750,000 more common units from TXO at the IPO price, less underwriting discounts and commissions. TXO’s common units are expected to begin trading on the New York Stock Exchange under the ticker symbol “TXO.” The offering should close on Jan. 31. TXO anticipates receiving net proceeds of about $88 million after deducting underwriting discounts and commissions and excluding any exercise of the underwriters’ option. TXO intends to use the net proceeds to repay a portion of the amounts outstanding under its revolver. TXO is focused on the acquisition, development, optimization and exploitation of conventional oil, natural gas, and natural gas liquid reserves in North America. TXO’s acreage positions are concentrated in the Permian Basin of West Texas and New Mexico and the San Juan Basin of New Mexico and Colorado.
