In a week marked by spring break vacations and a predictably skimpy roster of deals, it might be a good time to note the wood anniversary — that’s five years for the romantics among you — of Shearman & Sterling’s presence in Texas.
Shearman opened its first Texas office in Austin in March 2018, taking aim at the tech and life sciences companies that were emerging in the state’s capital city. But the New York-headquartered firm rapidly expanded to Houston in 2018 and to Dallas in 2020 — during the heart of the pandemic — and now boasts 70 attorneys, including 24 partners, across the state.
Bill Nelson, who now heads Shearman’s Texas offices, joined the firm in December 2018 from Haynes and Boone where he was co-chair of the firm’s capital markets and securities practices. Nelson says that after more than 23 years at HaynesBoone, it was a major transition for him personally; but in the five years that have elapsed, he says he has discovered no regrets.
“It’s really no different [a lateral move] from a new associate at a law firm. You wonder how things work, where you fit in,” Nelson says. “What’s really amazed me about Shearman is the culture, the teamwork, the resiliency.”
At the heart of his satisfaction, he says, is a stream of work that remains both challenging and fascinating. He cautions that the word “fascination” might not translate to those outside the boundaries of his capital markets practice.
“[The move to Shearman] has given me a phenomenal platform with my clients in Texas, and also clients I hadn’t the opportunity to work with before,” Nelson said.
“Whether it’s following the new SPAC rules, or rewriting bank engagement letters to reflect regulatory changes, it’s the fact that we’re at the forefront of the conversation. We’re in the room,” Nelson said. “That’s what fascinates me.”
Over its five years in Texas, Shearman has cut its share of deals, including a couple of the larger transactions featured this week.
Shearman’s Texas lawyers, for instance, advised on the $7.7 billion purchase by SAP SE of 423 million shares of Qualtrics, part of a $12.5 billion take-private transaction. Nelson himself was involved in a deSPAC merger that is taking Aeries Technology public.
Other major Shearman transactions that involved their Texas offices include such clients as:
· DT Midstream’s private placement of $600 million in senior secured notes.
· Schoox in its strategic growth investment from Vista Equity Partners Endeavor Fund.
· Caris Life Sciences in the equity portion of its $310 million growth capital financing, its $830 million growth equity round and as borrower on a $400 million senior secured term loan facility provided by OrbiMed and Braidwell.
· Plains All American Pipeline and Plains Marketing as borrowers on a $2.7 billion revolving credit facility.
· Human Power of N Company (HumanN) in a putative consumer class action in connection to false advertising under the Texas Deceptive Trade Practices—Consumer Protection Act.
· YETI Coolers in a trademark infringement litigation regarding unauthorized marketing and sales of ‘unreleased’ jackets and other YETI branded apparel.
· Hitachi on its acquisition of GlobalLogic Inc, a transaction valued at $9.5 billion.
· Private equity firm EnCap Flatrock Midstreamin connection with its $3 billion sale of Moda Midstream assets to assets to Enbridge Inc.
· Southland Royalty Co. on its chapter 11 case.
Nelson is hoping that the growth and opportunities continue (knock on wood).
The week ending March 18 was, as noted above, a quiet one. Somebody was on spring break. There were only seven deals valued at $13.9 billion, five of them M&A transactions. This compares to last week’s 21 transactions valued at $11.5 billion and the 13 transactions for $2.3 billion during the same week last year.

Silver Lake, Canadian Pension Plan in $12.5B Qualtrics Take-Private Deal
Deal Description: As previously reported, business software giant SAP SE announced March 13 that it had agreed to sell all its shares in Qualtrics, Inc. for $7.7 billion as part of a $12.5B deal to take the company private after barely two years as a publicly traded concern. SAP’s controlling stake of more than 423 million shares in Qualtrics are being acquired in a deal jointly negotiated by Silver Lake Investors, a Silicon Valley investment firm, and the Canadian Pension Plan Investment Board. Aeries Technology in deSPAC merger with Worldwide Webb Acquisition Corp.
Deal Description: Aark Singapore and its business consulting subsidiary Aeries Technology announced March 13 its agreement to go public through a merger with Utah-based Worldwide Webb Acquisition Corp., a SPAC formed by Bank of America and Citi investment banking alum Daniel Webb. Based in Mumbai, the company has offices in the U.S. in Raleigh and San Jose and is focused on expanding specialty services practice in multiple verticals such as IT infrastructure, finance & accounting, process automation, business systems and implementation of emerging technologies. Terms of the deal include an additional $50 million addition to Aeries. The combined companies will bear an implied market capitalization of $656 million.

Mobiv Acquisition SPAC to acquire Indian EV cycle-maker
Deal Description: Mobiv Acquisition Corp., a blank check company headquartered in Newark, Delaware, has reached a take-public deal with SRIVARU Holdings, a maker of electric-driven motorcycles for the Indian market. The deal includes a plan to generate up $104 million for SRIVARU to fund operations and growth. The pro forma enterprise value of the combined company is $195 million.

Fluor Corporation Sells AMECO South America
Deal Description: Irving-based Fluor Corporation, a global engineering and construction company, announced Mar. 14 the sale of its South American mobile equipment business AMECO South America to STRACON S.A.C., a mining services company based in Lima, Peru. Terms of the sale were undisclosed. The company said the transaction marks the completion of the AMECO, part of a strategic initiative to allow Fluor to focus on its core businesses and capital priorities. Previous AMECO divestitures included company assets in Africa, the Caribbean, Mexico and North America.

Kirkland Advises Metallica on purchase of vinyl record pressing plant
Deal Description: The heavy metal rock band Metallica announced March 14 their purchase of Furnace Record Pressing, a producer and distributor of vinyl records based in Alexandria, Virginia. Terms of the deal were undisclosed, but the relationship between the two parties is longstanding. Furnace has, in the past, produced more than five million Metallica vinyl pressings. Since the band was founded in Los Angeles in 1981 by James Hetfield and Lars Ulrich, Metallica has been one of the most successful rock acts on the planet, with an estimated sale of more than 125 million recordings worldwide.
Metallica’s Outside Legal Advisor: Kirkland & Ellis advised Metallica with a team led by partners Margaret Gibson (Chicago) and John Kaercher and Miriam Khalifa (both of Austin). Par Pacific holdings offers $550M in secured notes
Deal Description: Par Pacific Holdings, through its subsidiaries Par Petroleum and Par Finance, announced last week that on Feb. 28 it had closed a new term loan B facility of $550 million and the completion of cash tender offer and the redemption of outstanding 7.750% Senior Secured Notes due 2025 and 12.875% Senior Secured Notes due 2026. Proceeds from the term loan facility were used to refinance an existing loan facility and the notes redemption.
Financial Advisors: Wells Fargo Securities, BofA Securities, MUFG Bank and Goldman Sachs were joint lead arrangers and bookrunners for the term loan facility, while Wells Fargo served as administrative agent.

Hunton Advises on ONE Gas forward sale
Deal Description: HuntonAK announced last week that it had advised Bank of America on the March 8 $153.8 million public offering of 2 million common shares by Tulsa-based ONE Gas, a deal that includes a forward sale agreement with Bank of America. ONE Gas also has agreed to grant the underwriter an option to purchase up to 300,000 additional shares of ONE Gas common stock. Fully regulated, ONE Gas is the largest natural gas distributor in Oklahoma and Kansas, and the third largest in Texas.
