Dealmaking — now unencumbered by the pandemic — has returned in full force. And, as the Wall Street Journal reminds us this week, so has private equity.
Quoting Dealogic, WSJ tells us that private equity firms have already announced a record $944.4 billion in deals this year, about 2.5 times the dollar volume this time last year and more than double 2007, the previous PE peak.
It’s more than fair to say Texas is — as it has been — a primary market for PE deals and the lawyers who advise on them, and not only in such traditional sectors as energy and real estate.
PE funds are increasingly focused on the emerging and transitional markets, those most affected by the rise in technology. In doing so, they are in lockstep with — or perhaps leading — the rest of the world. And it’s also more than fair to say that Texas companies and Texas dealmakers have had a significant role.
Through September 30, there were 8,797 M&A deals worldwide (valued at $1.2 trillion). Of those, the tech sector held a 27% share. Healthcare was second with 10.5%, followed by real estate (6.7%), finance (6.4%) and utilities & energy a distant fourth (6%).
So, consider these hefty Texas-centric non-energy PE deals:
Barely two weeks ago, Dallas-based CyrusOne, a global data infrastructure company, sold itself to KKR for a staggering $15 billion. The deal was led from Houston by Kirkland & Ellis with partners Andy Calder and John Pitts.
In April, Thoma Bravo bought the Dallas-based real estate analytics company RealPage in a take-private deal for $10.2 billion. Kirkland’s Chicago office led that deal for Thoma Bravo.
In June, through its Global Infrastructure Investors, KKR bought Plano’s private aviation services company Atlantic Aviation for $4.5 billion. Kirkland’s Pitts and Calder led that one for KKR, as well. As an aside, just two weeks ago, Atlantic Aviation acquired Denver’s Ross Aviation for an undisclosed sum. And in that transaction, Pitts led along with his Kirkland colleague Emily Lichtenheld in Austin. (Note: You may have noticed that Kirkland and John Pitts are having one helluva year. We have.)
There are others. In a January funding deal led by Gibson Dunn & Crutcher partner Stephen Olson from Houston, Saudi investor Global Oryx invested in a $2.6 billion round of funding for Rivian Automotive, an EV automaker that 10 months later held an IPO that valued the company at $100 billion.
Morgan Lewis partners Sameer Mohan and Banee Pachuca led Generate Life Sciences, a fertility process provider, in its $1.6 billion acquisition by CooperCompanies. And Michael De Voe Piazza of Willkie Farr & Gallagher led the $950 million acquisition of Oak Street Capital by its Chicago-based competitor Blue Owl Capital.
Energy deals are still big in Texas, to be sure, and they are likely to get bigger. But Texas M&A is getting a steadier brand of health from a diversification that seems to have accelerated over the past few years.
Last week — a three-day, holiday-shortened one — there were nine deals reported worth a total of $$3.46 billion. That included six M&A deals worth $1.8 billion and three capital markets deals worth $1.7 billion.
Because it was a short week, there’s no point in making a comparison with the week before. It was a boffo week where deals averaged more than $1 billion per. If you really need to check, take a look at the table below.
And last year? We kinda took that week off. This year, we couldn’t. As suggested above, it’s been that kind of year.

Genesis Energy sells 36% interest in pipeline system for $418M
Deal Description: Genesis Energy announced Nov. 18 the closing of the sale of a 36% minority equity interest in its Cameron Highway Oil Pipeline System to an undisclosed financial party at an 8/8ths valuation of $1.16 billion, which resulted in gross proceeds to Genesis of about $418 million. Genesis now owns 64% of the pipeline and will remain its operator.

Apollo buys 50% of Broad Reach Power from EnCap
Deal Description: Apollo and EnCap Energy Transition Fund I announced Nov. 22 that funds managed by Apollo affiliates agreed to acquire a 50% stake in Broad Reach Power from EnCap Investments and its co-investment partners Yorktown Partners and Mercuria Energy. Terms were not disclosed but EnCap and its partners have committed to invest up to $400 million of additional equity to fund Broad Reach’s expansion and growth pipeline. Broad Reach is a utility-scale energy storage and renewable energy platform in the U.S., applying energy storage technology and power market analytics to improve the performance of renewable and power generation facilities. The company has 1.4 gigawatt hours of storage assets in operation or under construction and controls a 21-gigawatt portfolio of utility-scale wind, solar and energy storage power projects across the country.

Paloma to acquire Goodrich Petroleum for $480M
Deal Description: Goodrich Petroleum Corp. announced Nov. 22 that it entered into a definitive merger agreement in which Paloma Partners VI Holdings, an affiliate of EnCap Energy Capital Fund XI LP, will start a tender offer to acquire all of Goodrich’s outstanding common shares for $23 per share in cash. The offer price in the transaction, which has been unanimously approved by Goodrich’s board of directors, represents a 7% premium to Goodrich’s closing price on Nov. 19 and a 47% premium to its year-to-date volume-weighted average price. The offer will be subject to the tender of a majority of the outstanding Goodrich shares and is expected to close in December. The transaction is not subject to a financing condition. EQRx enters strategic agreement with Abdul Latif Jameel Health for cancer treatments
Deal Description: EQRx, an alternative drug manufacturer based in Cambridge, Massachusetts, announced Nov. 22 a strategic agreement with Abdul Latif Jameel Health to gain regulatory approval and commercial markets for their low-cost pharmaceuticals aimed at the treatment of non-small cell lung cancer (NSCLC). The agreement would help EQRx target low-cost markets in the Middle East as well as Turkey and all of Africa. The two drugs named in the agreement are aumolertinib and sugemailmab. Aumolertinib is an epidermal growth factor receptor inhibitor and has been approved in China for treatments of patients with a certain kind of cancer: metastatic EGFR T790M mutation-positive T790M. Sugemailmab is an investigational monoclonal antibody that targets PD-L1, a type of protein that inhibits the ability of the immune system to kill cancer cells.

Rocket Lab Acquires Satellite Dispensing Firm in $67M transaction
Deal Description: Rocket Lab, a California-based end-to-end provider of space systems for commercial and government, announced Nov. 15 that it is acquiring Planetary Systems Corp. in a cash and stock transaction. The deal includes $42 million in cash and 1.72 million shares of Rocket Lab common stock worth about $25 million at the time of the announcement. Maryland-based PSC is a provider of mechanical separation systems and satellite dispensers.

New Jersey Thrift Acquires New Jersey Bank
Deal Description: Spencer Savings Bank, a New Jersey thrift based in Elmwood, announced Nov. 18 that it is acquiring Mariner’s Bank for $51 million. Based in Edgewater, New Jersey, Mariner’s Bank adds $391 million in deposits and, more importantly, six full-service banking locations to the 20 branches Spencer operates.

Continental Resources prices $1.6B in senior notes
Deal Description: Oklahoma City-based Continental Resources Inc. closed Nov. 22 its private placement of $800 million of 2.268% senior notes due 2026 and $800 million of 2.875% senior notes due 2032. The company intends to use the net proceeds to fund part of purchase price in the recently announced $3.25 billion acquisition from Pioneer Natural Resources Co., to pay the fees and expenses associated with the offering and, if the Pioneer acquisition is not consummated, for general corporate purposes, which may include repayment of debt.

Kimbell Royalty raises $57.6M in public offering
Deal Description: White & Case said Nov. 23 it advised Kimbell Royalty Partners on its $57.6 million public offering. It consisted of 4.3 million common units, including 562,500 units under the underwriter’s option to purchase additional stock, offered to public at $14 per common unit for a total of $57.6 million. Kimbell is an oil and gas mineral and royalty company based in Fort Worth, Texas. The entity owns mineral and royalty interests in more than 13 million gross acres in 28 states and in every major onshore basin in the continental U.S., including more than 97,000 gross wells with more than 41,000 wells in the Permian Basin.

El Paso Electric places $45M in senior notes
Deal Description: Akin Gump said Nov. 17 that the firm advised El Paso Electric Co. on a private placement of $45 million in senior guaranteed notes due 2031 of Rio Grande Resources Trust II. The entity is a Texas grantor trust through which El Paso Electric finances its portion of fuel for the Palo Verde Generating Station. El Paso Electric is a regional electric utility company providing generation, transmission and distribution services in west Texas and southern New Mexico.
