CDT Roundup: Fiber, Towers and Rare Earths Fuel Diverse Deal Slate

For the week ended April 25, the Roundup reported on 11 deals worth about $19.7 billion, or maybe $69.7 billion, depending on how SpaceX’s latest acquisition pans out.

The prior week had 14 deals come through with a total value of slightly more than $3.5 billion, while a year ago at this time, the Roundup reported on 12 deals valued at nearly $8.8 billion.

Aside from the SpaceX rent-to-own deal this week’s slate of transactions includes the acquisition of a Brazilian Rare Earth source with a 15-year offtake agreement with the U.S.-backed buyer already in place; a $1.5 billion investment in a REIT that specializes in communications towers; the reverse-merger of an offshore oil services firm with a Houston-based competitor; the acquisition of a fiber provider in Alaska; the sale of a compression services provider to a Lubbock firm and the sale of a minority stake in a hyperscale data center developer.

And don’t forget the 220 hyperlinked names of lawyers who worked on those deals.

Gibson Dunn Advises SpaceX on $10B (or $60B) Cursor Deal

Deal Description: SpaceX said in a social media post this week that it has an option to acquire Cursor later this year for $60 billion “or pay $10 billion for our work together.” That work is aimed at creating “the world’s best coding and knowledge work AI.” Gibson Dunn advised SpaceX on the deal with a national team led by Robert Little in Dallas and George Sampas in New York. USA Rare Earth acquires Brazilian mining firm Serra Verde Group for $2.8B

Deal Description: USA Rare Earth said on April 20 that it agreed to acquire Serra Verde Group, owner of a rare earth mine and processing plant in Brazil, for $300 million in cash and nearly 127 million of new USA Rare Earth common shares. Based on the stock’s closing price of $19.95 on April 17, the deal has an equity value of $2.8 billion. USA Rare Earth said Serra Verde’s Pela Ema mine “is a one-of-a-kind asset and the only producer outside Asia capable of supplying all four magnetic rare earths at scale.” Serra Verde has secured a 15-year offtake agreement with a special purpose vehicle capitalized by the U.S. Government and private sources for its Phase 1 production that is expected to achieve capacity by the end of 2027. Serra Verde projects Phase 1 to produce 6,400 metric tons of total rare earth oxides per year. In January, USA Rare Earth announced $277 million in federal funding and a $1.3 billion loan under the Commerce Department’s CHIPS Program. The company is building a sintered neo magnet manufacturing facility in Stillwater, Okla., that is expected to be online by June 30. USA Rare Earth mines elements at its Round Top deposit in West Texas and has a research and development facility outside Denver.

Vertical Bridge REIT gets $1.5B from KKR

Deal Description: Vertical Bridge REIT said on April 22 that it received a $1.5 billion equity investment in from KKR, one of the largest private equity firms in the world with about $744 billion in assets under management. Vertical Bridge’s existing sponsors, DigitalBridge and La Caisse, also participated in the investment. The Delray Beach, Fla., wireless communications infrastructure company owns and operates more than 17,000 towers across the nation. KKR said “the convergence of 5G densification, edge compute, and surging data demand is creating a structural need for more and better located wireless infrastructure.”

Helix Energy Solutions, Hornbeck Offshore Services merge in $1.4B stock swap

Deal Description: Helix Energy Solutions Group and Hornbeck Offshore Services said on April 23 that they have merged in an all-stock transaction with Hornbeck shareholders getting 10.27167 shares of Helix common stock for each Hornbeck share owned. Upon close, expected in the second half of this year, Hornbeck shareholders will own 55% with Helix shareholders holding the other 45% of the integrated offshore services company that will trade on the NYSE under the ticker symbol “HOS.” At the close of business Friday, Helix was trading at $9.89 per share and a market capitalization of $1.41 billion. Houston-based Helix provides specialty services to the offshore energy industry in the West Africa, Asia Pacific and North Sea regions, as well as the U.S. and Brazil. Hornbeck, based in Covington, La., operates primarily in the Gulf and Latin America, providing offshore transport services, including supply vessels, tankers and barges. Hornbeck filed for bankruptcy protection in May 2020.

GCI Liberty acquires Alaskan fiber infrastructure company Quintillion

Deal Description: GCI Liberty said on April 22 that it has acquired Q Gateway Ultimate Holdings (dba Quintillion), a fiber infrastructure provider in Alaska, from Grain Management in a deal with an enterprise value of $310 million. GCI Liberty, Alaska’s largest communications provider said the acquisition of Quintillion includes more than 1,800 miles of existing subsea and terrestrial fiber and about 1,500 miles of planned fiber expansion and will advance its statewide network.

Service Compression acquires rival natural gas compression services Axip Energy

Deal Description: Service Compression, a portfolio company of Lubbock private investment firm Masked Rider Capital, said on April 15 that it has acquired substantially all assets of Axip Energy Services, a Houston compression services provider to upstream and midstream customers. Terms weren’t disclosed. The Fort Worth-based natural gas compression services company said the deal enhances its presence in large-horsepower categories and deepens its position in key operating regions, including the Permian Basin, as it builds a scaled, technology-enabled, full-service compression platform.

Delta Utilities acquires Spire Inc.’s Mississippi natural gas company

Deal Description: New Orleans natural gas utility Delta Utilities said on April 22 that it agreed to acquire Spire Inc.’s Mississippi natural gas distribution company that serves about 18,000 customers. Terms weren’t disclosed. Delta Utilities, a portfolio company of Baton Rouge, La., private equity firm Bernhard Capital Partners, provides natural gas to about 600,000 residential, commercial and industrial customers across Louisiana and Mississippi. Last week, the CDT Roundup reported on St. Louis-based natural gas utility Spire Inc. selling natural gas storage assets in Wyoming and Oklahoma for $650 million cash to Miami infrastructure investment manager I Squared Capital.

X-Energy prices IPO at $23/share for more than $1.17B

Deal Description: Maryland nuclear reactor and fuel technology company X-Energy said on April 23 that its initial public offering of more than 44.25 million common shares priced at $23 a share. X-Energy granted underwriters an option to buy another 6.64 million common shares, and the company expects gross proceeds of about $1.17 billion. The Wall Street Journal reported that the company scrapped an IPO less than three years ago after investors showed little interest. The company has benefited of late as artificial intelligence drives demand for new sources of electricity, according to the Journal article. X-Energy’s shares closed Friday at $29.20, giving the company a market value of about $11.5 billion.

Venture Global unit prices $750M of 6% notes, gets $1.75B term loan

Deal Description: Arlington, Va.-based producer and exporter of low-cost LNG Venture Global Inc. said on April 23 that its Venture Global Calcasieu Pass unit closed an offering of $750 million of 6 percent notes due 2036. The company plans to use proceeds to repay outstanding term loans. On April 10, Venture Global announced that this Calcasieu Pass unit entered into a $1.75 billion term loan B credit facility  and used some of the proceeds to redeem the preferred equity interests held by Stonepeak Bayou Holdings.

Synsus Private Label Partners, a Houston-based lawn and garden chemical manufacturer and portfolio company of Crescentia Capital, said on March 23 that it acquired Michigan-based Emerald Bioagriculture, which provides biostimulant technologies. Terms weren’t disclosed. The companies expect the deal to expand technologies to drive the advancement of eco-friendly products and services for growers, turf managers and homeowners. Willkie Farr & Gallagher advised Synsus, with a team led by Neil Townsend in New York and Aaron Savella in Houston. 

On Jan. 20, Divert Inc. announced an undisclosed amount of new funding led by Wittington Investments to scale operations and “bring wasted food solutions to more retailers and manufacturers. Based in Concord, Mass., Divert Inc. is a portfolio company of private equity firm Ara Partners. Divert said it is “able to recoup the value in unsold non-donatable food by leveraging anaerobic digestion to transform food and liquids into beneficial products, including carbon-negative renewable energy, soil amendment and nitrogen-rich fertilizer.” Kirkland & Ellis advised Toronto-based Wittington Investments with a team that included Kevin Crews and Adam Wojcik in Dallas, Lucy Li in Austin, Jim Dolphin in Houston, and Drew Stuyvenberg in Washington, D.C.
