Fredrickson, Munoz and White Advise ArcLight and Halcón in $1.4B Asset Deal

(July 11) – Boston-based ArcLight Capital Partners announced Tuesday that it is paying $1.4 billion to acquire oil and gas properties in the Williston Basin from Houston-based Halcón Resources.

Robin Fredrickson
ArcLight Capital Partners General Counsel Theodore Burke and associate general counsel Christine Miller turned to Latham & Watkins M&A power duo Robin Fredrickson and Jeff Muñoz to advise its Houston portfolio company, Bruin E&P Partners, in the transaction.

Halcón Resources Chief Legal Officer David Elkouri hired Thompson & Knight partners Hunter White and associate Kelli Sims to represent the company in its sale of approximately 104,000 net acres of oil and gas properties in McKenzie, Williams, Mountrail, and Dunn counties in North Dakota.

Jeffrey Muñoz
Halcón Associate General Counsel Kason Kerr and associate general counsel Jason Payne also played significant roles in the deal.

Muñoz also represented ArcLight earlier this year in its purchase of TransCanada’s New England hydroelectric power portfolio.

Hunter White
Other Latham lawyers working on the transaction for ArcLight include associates Christine Shaheen and Michael Sellner. Tax law partner Tim Fenn and associate James Cole and capital markets partners Bill Finnegan and Debbie Yee also provided legal advice to ArcLight.

Houston investment bank RBC Richardson Barr and Intrepid Partners were the financial advisers for Halcón.

The transaction is expected to close within 60 days, subject to customary regulatory and other approvals.
