Houston Corporate Partner Laterals to Womble Bond Dickinson

Katherine Smith, a corporate partner focused on executive compensation and corporate governance, has joined Womble Bond Dickinson’s Houston office as a partner in the firm’s Corporate and Securities Practice Group. She advises public companies, boards of directors and executive teams on executive compensation, securities disclosure and governance matters, according to a news release. 

Before joining Womble Bond Dickinson, Smith practiced at Vinson & Elkins, where she advised public companies on executive compensation and employee benefits issues arising in mergers and acquisitions, initial public offerings, restructurings and other corporate transactions. She also counseled boards and executive teams on proxy statement disclosures, shareholder approvals and executive compensation issues under the federal securities laws and the Internal Revenue Code. 

Smith’s practice includes advising companies, particularly in the energy sector, including transactions involving master limited partnerships and UP-C structures. She also represents public companies responding to SEC inquiries and proxy advisory firm recommendations related to executive pay and corporate governance. 

Smith earned her law degree from New York Law School and her bachelor’s degree from the University of Kentucky.
