Skadden, Bracewell and Latham Advise in $2.1 Billion Noble-Rosetta Deal

(May 12) – Texas lawyers from three firms negotiated Noble Energy’s purchase of a fellow Houston-based E&P company, Rosetta Resources, for $2.1 billion. Noble’s acquisition of Rosetta, which owns positions in the Eagle Ford area, gives it access to the South Texas shale play.

A Houston-based team from Skadden, Arps, Slate, Meagher & Flom led the corporate and securities aspect and negotiation of the deal for Noble. Partner Frank Bayouth led the deal team, which included partners Eric Otness and associates Kelly Williams, Rebekah Reneau and Rouzhna Nayeri. Attorneys from the firm’s New York, Los Angeles, Boston and Palo Alto offices advised on the tax, financing, labor and employment, intellectual property and environmental aspects of the deal.
