V&E and Gibson Dunn lead $2.5 billion Williams Partners – Caiman Energy Deal

Dallas-based Caiman Energy announced Monday that it was selling one of its wholly owned subsidiaries, Caiman Eastern Midstream, to Williams Partners for $2.5 billion.

Vinson & Elkins M&A partner Chris Collins and capital markets partner Doug McWilliams, both of Houston, is advising Caiman Energy. Gibson Dunn represents Williams Partners, which is an energy infrastructure company.

The transaction shows that significant deals are still alive in the oil and natural gas patch, especially in the liquids-rich portion of the Marcellus Shale formation.

Other V&E lawyers involved in the transaction are Houston environmental partner Larry Nettles and Dallas tax partner David Peck and Dallas executive compensation partner David D’Alessandro. Associates Sarah Morgan and Chris Little also worked on the deal.

The Gibson Dunn team was led by Denver partner Richard Russo. Dallas corporate transactions associate Anthony Shoemaker was involved in representing Williams.
