For the week ending Oct. 17, the Corporate Deal Tracker recorded 55 Texas lawyers at five different firms working on eight M&A deals with a reported total value of only $$351.9 million. There were no capital markets transactions reported.
The $351.9 million in total reported value is the lowest ever recorded by the The Roundup, eclipsing the $529 million reported the first week of 2019.

V&E Advise Apollo Global on $200 J/V Investment in Renewables
Two major investors in renewable energy, Apollo Global Management and Altius, announced a joint venture Oct. 13 aimed at accelerating the growth of Great Bay Renewables, an Altius subsidiary promoting royalties-based investments in a wide variety of renewable energy projects.
Alternative investment manager Apollo has agreed to invest up to $200 million in Great Bay with an option to acquire up to a 50% stake in Great Bay.
Formed in 2017, Great Bay focuses on investments made from funding based on what the company describes as a proprietary structure based on royalties, the energy industry’s traditional production-based distribution of revenues.
New York-based Apollo Global was advised by Vinson & Elkins with a team led by New York partners Jim Fox and Dan Komarek and partner Danielle Patterson in Houston. They were supported from Dallas and Houston by associates Anastasia Arsenio David Peck, Jason McIntosh and Chris Garza, along with lawyers from New York.
Since inception, New Hampshire-based Great Bay has invested more than $60 million in leading developers such as Apex Clean Energy and Tri Global Energy, which together are advancing over 18 gigawatts of wind and solar projects.
Geoffrey Strong, a senior partner at Apollo, said the investment in Great Bay is another measure of the company’s belief in the viability of renewables.

Winston Advises Buyers on Acquisition of 3Disc Holdings
Madame Marie-Laure Pochon and Galiena Capital announced the purchase of 100% of 3Disc Holdings and its several subsidiaries, manufacturers and distributors of dental medical devices.
Pochon is CEO of Paris-based Aceton, a European manufacturer of devices and Galiena Capital is a French private equity firm. Pochon was named CEO of 3Disc.
Based in Denmark with a US headquarters in Herndon, Virginia, 3Disc’s signature product is the Heron iOS intraoral scanner that scans and configures dental structures for use in CAD systems.
The transaction was led from Paris and New York with lawyers from Washington, San Francisco and Chicago, but the team included Dallas associate Zak Morozov who provided tax advice.
V&E Advises DISCO in $60M Funding Led by Georgian Partners
Austin-based DISCO, a legal technology firm specializing in e-discovery, announced October 15 that it had received $60 million in new equity funding from investors led by Georgian Partners.
The firm said the latest funding brings total outside investment into the firm at $195 million.
Vinson & Elkins advised DISCO on the transaction with a team led by Austin partners Paul Tobias and Wes Watts with associate Luke Thomas.
DISCO founder and CEO Kiwi Camara is a Harvard Law grad with a BS in computer science and a PhD in economics from Stanford.
“We are building the enterprise software system of record for the legal function. Every major company has a legal department and spends money on legal services, but there is very little software built to help legal professionals do their work,” says Camara.
Investment in the company’s platforms are apparently both durable and attractive given the accelerated demand for digital solutions brought about by the coronavirus pandemic. The new spate of funding included preexisting investors Bessemer Venture Partners, LiveOak Venture Partners, and the Stephens Group, along with Breyer Capital.
V&E Advises Plains All American Sale of Terminals to Zenith Energy
Plains All American Pipeline announced October 16 announced that it had sold three interconnected terminals that serve Los Angeles County to Zenith Energy U.S. for an undisclosed sum.
The three terminals and their associated pipelines — the Long Beach, Dominguez Hills and Alamitos terminals — comprise about 50 miles of bi-directional crude oil delivery.
The acquisition brings to 23 the number of terminals in the U.S. owned and operated by Zenith, a midstream company headquartered in Metuchen, New Jersey with corporate offices in Houston.
Richard McGee, who earlier this month succeeded Greg Armstrong as general counsel of Plains All American Pipeline, tapped Vinson & Elkins to advise on the deal. Armstrong, longtime GC at Plains All American, retired on October 1.

Zenith did not identify any outside counsel involved in the transaction.
Tencent Advised by Latham on Merger with Streamers Huya and Douyu
Tencent, the world’s largest video game vendor, announced October 12 that it is assigning its interest in Penguin e-Sports to a new company created by the merger of two Chinese gaming concerns solely for that purpose.
Under subsidiary agreements tied to the merger, Tencent — headquartered in Shenzhen — will own control of the merged firm.
In the U.S., Skadden, Arps, Slate Meagher & Flom is advising Huya. Davis, Polk and Wardwell is representing DouYu and Latham & Watkins is advising Tencent, including four lawyers from the firm’s Houston office.
The Latham team is being led from Hong Kong with support from lawyers in Chicago, Los Angeles and Washington D.C. The Houston contingent includes associates Thomas Verity, Bryan Ryan, Kate Wang and Ben Marek.
Under the agreement, DouYu, a streaming platform based in Wuhan, is to be absorbed by Huya and merged into the Tiger Company Ltd, an entity created solely for that purpose. Tencent, in turn, is reassigned its interest in the live-streaming brand of Penguin e-Sports in a deal valued at $500 million.
Before the merger closes, Tencent has agreed to purchase 1.9 million shares of Huya from the company’s CEO Rongjie Dong and 3.7 million shares of DouYu from that company’s CEO Shaojie Chen. After closing Tencent will hold 67.5% of the voting power in the combined company.
V&E Advises Clovis Point on NinjaCat Investment
Houston-based Clovis Point Capital announced Oct.15 that it had completed a major investment in the all-in-one marketing platform NinjaCat Inc. Terms of the transaction were undisclosed.
Based in New York, NinjaCat is a cloud-based platform that allows real-time monitoring and reporting on client-centric analytics. The investment is intended to help the 7-year-old company expand its portfolio of marketing data and analytics.
Vinson & Elkins advised Clovis Point on the transaction. The V&E team was led from Houston by partner James Garrett and senior associate Jeannie Poland. Also advising were associates Sara Bloom and Mariam Boxwala (corporate) in Houston; partner David Peck and senior associate Megan James (tax) in Dallas; senior associate Kristy Fields (executive compensation); counsel Christie Alcalá (employment); and senior associate Alex Kamel (finance).
In August, V&E represented Clovis Point in its acquisition of software-as-service provider ZynBit.com by Clovis Point portfolio company, Cirruspath Inc. James Garrett also led the V&E team on that transaction.
Locke Lord Advises on $4.9M White Deer Stalking Horse Acquisition
In a $4.9 million transaction that closed Oct. 6, White Deer Energy purchased the assets of Patriot Well Solutions as part of a stalking horse bid in the Southern District of Texas Bankruptcy Court.
White Deer, which also provided DIP financing to Patriot, was advised by a Houston-based team from Locke Lord led by partners Phil Eisenberg and Joe Perilllo. They were assisted by partner Tammi Niven, senior counsel Simon Mayer and associate Jason McCloskey. The Locke Lord team advised White Deer on both stages of the acquisition.
Patriot filed for Chapter 11 bankruptcy protection July 20. They were represented by Squire Patton Boggs with a team led by Christopher Giaimo from Washington D.C. and Travis McRoberts from Dallas. The creditor committee was represented by Foley & Lardner partners Marcus Alan Helt in Dallas and Michael Riordan in Houston.
Kirkland Advises as Arcosa Acquires D/FW Aggregate Recycler
Arcosa Inc., a Dallas-based provider of construction products, announced Oct. 12 the acquisition of Strata Materials for $87 million.
Strata Materials has five plants generating recycled aggregates in the Dallas/Fort Worth and one plant for natural aggregates.
Arcosa was advised by a Kirkland & Ellis team led from Dallas by transactional partner Kevin Crews and associates Ben Hardison, John Phelan and Abbey Zuech; real estate partner Conrad Steele and associate Callie Poorman; tax partners David Wheat and Lane Morgan; environmental transactions partner Jonathan Kidwell; executive compensation partner Rob Fowler in Houston; labor & employment partner R.D. In January, Arcosa closed its $298 million acquisition of Cherry Industries, a Houston-based producer of natural and recycled aggregates. Gibson & Dunn advised on that acquisition.
