CDT Roundup: Beyond Finally Bags The Container Store in Long-Courted Takeover

The CDT Roundup saw 11 deals reported for the week ended April 4 with a total valuation of nearly $33 billion. The prior week had 13 deals reported with a total value of $10.7 billion, while a year ago at this time there were 19 deals valued at $27.76 billion.

The bulk of the week’s value derives from a $29.1 billion megamerger between two food distribution giants, Sysco and Jetro Restaurant Depot.

But the most interesting may be the much smaller acquisition — finally — of The Container Store by Beyond, Inc., better known by its pre-bankruptcy moniker Bed Bath & Beyond. The deal originally brought together two extremely familiar retailers of home goods — one with scores of stores and one without. The two have been flirting with co-branding since October 2024, when the recently bankrupt Bed Bath & Beyond — acquired and rebranded by Overstock as Beyond, Inc. — invested $40 million into a partnership with The Container Store.

TCS declared itself bankrupt in December 2024, emerging as a private company only a month later. But the idea behind the Beyond investment was always to blend Beyond’s ubiquitous coupon-driven marketing with The Container Store’s stores. They couldn’t seem to make that work. Beyond has since launched new stores under new branding in a merger with Kirkland’s, but they never lost their lust for the TCS closet space — particularly their popular Elfa and Preston lines — and its subsidiary The Closet Store. It took awhile, but apparently they’ve finally figured out a way to make it work.

Sysco Acquires Jetro Restaurant Depot for $29.1B

Deal Description: Houston food distribution giant Sysco said on March 30 that it agreed to acquire Jetro Restaurant Depot for $21.6 billion cash and 91.5 million common shares, representing a total enterprise value of about $29.1 billion. Abu Dhabi investor buys stake in U.S. natural gas pipelines for $2.25B

Deal Description: Abu Dhabi investor E Point Zero announced on March 31 that it is acquiring a stake in two major natural gas pipelines that operate across and between the Upper Midwest and Canada for $2.25 billion for a 100 percent interest in U.S.-based Traverse Midstream Partners, which was advised by Weil. Primoris Services buys PayneCrest Electric for $422M cash

Deal Description: Primoris Services Corp. said on March 31 that it acquired St.Louis-based electrical construction and services company PayneCrest Electric Inc. for $422 million cash. Dallas-based Primoris, which provides infrastructure services to the utility, energy, and renewables sectors, expects the acquisition to help it expand in the market for data center services. The company also expects PayneCrest to generate revenue of $350 million and $370 million this year.

Rockets owner acquires WBNA franchise for $300M, plans to relocate to Houston

Deal Description: The Comets are coming back to Houston and will be owned by the owner of the Rockets, Tillman Fertitta. On March 30, Fertitta Entertainment announced an agreement to purchase the WNBA’s Connecticut Sun for $300 million and relocate the franchise to Houston.

Beyond, Inc. to acquire The Container Store for $150M

Deal Description: Beyond Inc. — and its better-known subsidiary Bed Bath & Beyond — announced April 2 that it had agreed to acquire The Container Store and Closet Works in a transaction valued at $150 million. In an 8K filing Bed Bath & Beyond said the deal includes $54 million in notes convertible into common stock at about $9.10 a share, as well as Bed Bath & Beyond stock priced at $7 a share. The company’s NYSE-listed stock closed Friday at $4.62. The deal melds more than 100 brick-and-mortar retail locations owned by Container Store, largely untouched by its December 2024 bankruptcy, with the rewards program and customer acquisition acumen that Beyond had been known for before its own bankruptcy in April 2023. Founded in Dallas in 1978, The Container Store is based in Coppell. As a subsidiary of Overstock, Beyond, Inc. is now headquartered in Murray, Utah. The law firms were not announced, but King & Spalding has advised Beyond in the past and Latham & Watkins has counseled The Container Store.

New Height Energy acquires Midland Basin assets

Deal Description: Houston private oil and gas company New Height Energy said on April 1 that it has acquired Midland Basin assets that it expects to produce more than 5,000 barrels of oil equivalent per day. Specific financial terms weren’t disclosed. Though, New Height Energy said it secured up to $300 million of credit through equity commitments from current owners and a consortium of family offices led by Houston private equity firm United Beren Energy, and a four-year revolving loan under its revolving credit with Texas Capital Securities and a banking syndicate.

Deal Description: French private equity firm Antin Infrastructure Partners said on April 2 that it acquired Sapphire Gas Solutions, a Conroe-based compressed natural gas and liquified natural gas services provider, from funds managed by affiliates of Apollo. Terms weren’t disclosed.  Antin Infrastructure Partners said this transaction is the eighth investment by its Flagship Fund V. Sapphire owns and operates specialized infrastructure to compress, liquify, transport and store CNG and LNG in 30 states.

Igneo Infrastructure Partners acquires Mattingly Cold Storage

Deal Description: London middle-market investment firm Igneo Infrastructure Partners said on April 1 that it agreed to acquire Mattingly Cold Storage, a cold storage business in Zanesville, Ohio. Terms weren’t disclosed. Igneo said the acquisition represents its first investment in cold storage infrastructure in the U.S., and the company will become ChillCo Logistics, led by Jason Lafferty, an experienced cold-storage industry executive.

Liberty Energy sells $525M 0.0% notes due 2032

Deal Description: Denver energy services company Liberty Energy Inc. said on March 26 that it sold $475 million of zero-coupon convertible notes due 2032 in a private offering and granted underwriters an option to acquire another $50 million of the notes. Liberty Energy  plans to use proceeds from the offering for general purposes and to fund about $77 million of capped call transactions with initial purchasers. These transactions can reduce potential dilution of the common shares initially underlying the notes and are capped at about $72 per share. The company said the notes have an initial conversion price of about $37.44 per share, representing a premium of about 30% to its NYSE-listed stock price of $28.80 on March 25.

HMH prices IPO at $20/share for $210.4M

Deal Description: HMH Holding announced on March 31 the pricing of its initial public offering of more than 10.5 million shares at $20. The Amsterdam-based drilling equipment, services and systems provider granted underwriters an option to buy another nearly 1.6 million common shares at IPO price; and the stock began trading on Nasdaq under the symbol “HMH.” The company was formed in October 2021 when Baker Hughes and Akastor merged offshore ​drilling equipment businesses with the goal of going public.
