Locke Lord and Bracewell Advise in $500 Million Gas Gathering Transaction

(March 20) – Houston-based Southwestern Energy Partners and San Antonio-based Howard Energy Partners have reached an agreement in which a subsidiary of HEP will purchase gas gathering assets from Southwestern and its subsidiary, Angelina Gathering Company, for $500 million.

The assets are located in the Bradford and Lycoming counties of northeastern Pennsylvania.

Locke Lord advised Southwestern and Angelina Gathering Company in the deal, with Houston partner Terry Radney as the lead attorney. The rest of the Locke Lord team included partners Buddy Sanders, Ben Cowan and Ed Razim and associates Hunter Summerford, Julia Pabon and Laura Ferguson of Houston and partner Van Jolas of Dallas.

In-house senior attorney Billy Dixon also worked on the deal for Southwestern.

Bracewell & Giuliani represented HEP in the deal, with Houston partners Alan Rafte and Ryan Holcomb as the lead attorneys. They received assistance from Houston partners Bruce Jocz and Heather Palmer, associates Christopher Miller and Will Thanheiser and attorneys from the firm’s New York and Washington, D.C. offices.

Bracewell has handled other non-public work for HEP, as well as Alinda, the company’s largest equity owner. In-house HEP attorneys involved in the current deal include General Counsel Greg Packer and Assistant General Counsel TJ Campbell. Before joining HEP in March 2013, Packer practiced corporate and securities law at Latham & Watkins and represented large MLPs, including Energy Transfer Partners and Enbridge Energy Partners.

The deal is expected to close in the second quarter of 2015.
