CDT Roundup: 12 Deals, 12 Firms, 157 Lawyers, $8.3B

The Haynesville natural gas play, located in East Texas and northern Louisiana, has been a hotbed of deals recently. 

Witness Chesapeake buying Plano-based, Haynesville-centric Vine Energy in August for $2.2 billion, ending Vine’s run as a newly public company with an IPO this past March. And Southwestern Energy purchased a pair of privately held companies involved in the region this year: Trilantic- and Yorktown-backed Indigo Natural Resources in June for $2.7 billion in cash, shares and debt and Blackstone-backed GEP Haynesville this past week for $1.85 billion in cash and shares.

It’s with good reason. The Haynesville is the third most active natural gas field in the U.S. producing 15% of the country’s supply, versus 41% for Appalachia and 21% for Permian Basin, according to a report by Stephens. In fact, the Haynesville has the second best momentum in the drilled-but-uncompleted category, Stephens found. 

Producers look at the Haynesville as having more room to run relative to Appalachia because of its infrastructure, Enverus, Austin-based energy data analytics firm, said in a report in October. “While Chesapeake already had exposure in both plays, other companies that are only in Appalachia may look to add a Haynesville position, like Southwestern did last quarter,” Enverus said.

Including Southwestern’s purchase of QEP Haynesville, last week’s tally came to 13 deals worth $8.3 billion. That included 10 M&A transactions worth $6.7 billion and 3 capital markets deals valued at around $1.6 billion. That represents work done by 157 mostly Texas lawyers at 12 firms.

Last week there were 21 deals reported worth $10.4 billion. Last year at this time there were 13 deals valued at $6.3 billion.

Pioneer sells Delaware assets to Continental for $3.25B

Deal Description: Pioneer Natural Resources Co. said Nov. 3 that the company entered into a definitive agreement to sell all of its assets in the Delaware Basin to Continental Resources for cash proceeds of $3.25 billion, making Pioneer a 100% Midland Basin operator. Southwestern buys Blackstone-backed GEP Haynesville for $1.85B

Deal Description: Southwestern Energy said Nov. 4 that it agreed to buy Blackstone-backed GEP Haynesville, the third largest private producer in the area, for about $1.85 billion in cash and shares, continuing a spate of deals in the North Texas region. More on the deal, including advisors, here.

Stonepeak-backed Evolve Transition invests $600M in Hobo Renewable Diesel

Deal Description: Stonepeak-backed Evolve Transition Infrastructure said Nov. 4 it is investing $600 million in Hobo Renewable Diesel to fund the construction of its first project, which is expected to produce more than 120 million gallons of renewable fuels annually. Key members of the Hobo’s leadership team will join Evolve’s management team on Dec. 1.

Notes: Stonepeak has been a longtime client of Sidley’s Vrielink, who advised the firm on its $350 million investment in Sanchez Production and a $960 million equity financing for three joint ventures with Targa Resources.

BKV, Banpu Power purchases power plant in Texas for $430M 

Deal Description: Denver-based BKV Corp., in partnership with Banpu Power US Corp., announced Nov. 2 that they closed on the purchase of the Temple 1 natural gas-fired power plant in Temple, Texas, for $430 million. The sellers were Fortress Investment Group, Kennedy Lewis Investment Management and Ares Management. BKV said the acquisition provides an entry into the power business. The plant was built in 2014 and has advanced emissions-control technology, making it one of the cleanest natural gas-fueled power plants in the U.S.,BKV said.  It was one of the few plants that operated during the Texas freeze in February to feed much needed power to the ERCOT grid.

Callaway Invests $30M in Five Iron Golf

Deal Description: Callaway Golf continued its foray into the golf education and entertainment business with the announcement Nov. 1 that it is acquiring a $30 million minority investment in Five Iron Golf, a New York company that offers indoor golf experiences with the rental of golf simulators, golf lessons and custom club fitting services, along with a food and beverage menu. The company has nine locations in seven cities and is developing seven additional venues including Seattle, Chicago and its first international location in Singapore.

Outside Counsel: Callaway Golf was advised by Gibson Dunn & Crutcher with a team led from Dallas by Robert Little. The Gibson team also included associates Joseph Orien and Jordan Rex. Partner Krista Hanvey advised on benefits, and associates Michael Cannon and Alex Marcellesi advised on tax implications. Associate Meghan Hungate advised on IP matters.

Notes: Little and Hanvey were also part of a Gibson team that handled a major funding for Topgolf Entertainment Group, as well as the a strategic investment by TEG along with Chip Baird’s North Castle Partners in Full Swing Golf in 2017. Callaway acquired Topgolf last year in a blockbuster $2.5 billion deal.

Brazos Midstream acquires two Permian gathering systems from Diamondback for $147M

Deal Description: Fort Worth-based Brazos Midstream announced Nov. 3 two transactions in West Texas’ Permian Basin: Brazos Delaware acquired the Pecos Gas Gathering System from Diamondback Energy Inc. and its midstream affiliate Rattler Midstream for $93 million; and newly formed Brazos Midland closed on the acquisition of Diamondback’s Mustang Springs Gas Gathering System for $54 million. Brazos said the Pecos system is a bolt-on acquisition for its Delaware Basin business and extends its reach to new producer customers and Mustang Springs gives it a platform in the core of the Midland Basin with potential for third-party growth.

Brazos’ Outside Counsel: Kirkland & Ellis led by corporate partners Kevin Crews, Courtney Jamison Roane and Danny Nappier and associates Jack Dougherty and Brock Baker. Texas lawyers assisting were environmental transaction partners Jonathan Kidwell and James Dolphin and tax partners David Wheat and Joe Tobias.

Diamondback’s Outside Counsel: Akin Gump corporate partners Stephen Boone and John Goodgame, global corporate practice co-head, led the deal team. They were joined by Texas corporate partner Gabe Procaccini and associates Leana Garipova and Katherine Raymond, along with tax partner Alison Chen. Corporate partner Alan Laves and associates Morgan Francy and Laura Lindsay Tatum handled the debt finance aspects.

Notes: Kirkland’s Crews also advised on the 2018 sale of Brazos by Old Ironsides to Morgan Stanley Infrastructure for $1.75 billion while at Weil, his previous firm. Akin’s Goodgame has been representing Diamondback for years.

Monomoy Capital acquires Trinity Industries’ highway products business

Deal Description: Dallas-based Trinity Industries, a major supplier of such highway products as guardrails, crash cusions and concrete barriers, announced Nov. 3 that it is selling that part of its business to Monomoy Capital Partners for $375 million. Monomoy Capital, a New York PE firm focused on North American industrial investments in businesses with enterprise values up to $750 million. Trinity officials said the divestiture will allow the company to focus on its position as one of the nation’s largest providers of railway equipment and services.

In-House Legal: Sarah Teachout is Senior VP and Chief Legal Officer at Trinity Industries. Teachout attended Harvard Law School and is a former partner at Akin Gump and spent 14 years at Haynes and Boone.

Outside Counsel: Akin Gump was tapped to represent Trinity and advised with a team led by corporate partner Thomas Yang and counsel Ashton Butcher. The team also included associates Penelope Shumway, Hayden Baker, Mattison Raiford, Jeremiah Lee and Raj Patel.

Also advising were litigation partner Lizzy Scott and counsel Lauren York; intellectualproperty partner David Vondle; tax partner Alison Chen and seniorcounsel Brandon Morris; antitrust practice head Corey Roush, partner Haidee Schwartz, and counsel Scott Pettifor; environmental practice head David Quigley and senior counsel Andrew Oelz; and partner John Bain and counsel Alex Agahzadeh on real estate.

Notes: Trinity’s highway products business has faced its share of controversy. In the mid-2010s the company faced a wave of litigation over the safety of its guardrail systems, culminating in 2014 in a record $663 million federal jury verdict under the False Claims Act. The verdict, which involved sales to the U.S. government was overturned by the U.S. Fifth Circuit, which held that there was no actual evidence that Trinity’s guardrails were in any way defective.

Cleanhill partners with CleanJoule to drive growth of sustainable aviation fuel

Deal Description: Cleanhill Partners, a New York- and Houston-based private equity firm pursuing investments in the energy transition sector, partnered with Salt Lake City’s CleanJoule, a producer of full-performance sustainable aviation fuels. Terms weren’t disclosed. The transaction provides CleanJoule with the financial, strategic and operational resources to accelerate the commercialization of its technology, advancing meaningful efforts to slow climate change and addressing energy shortages predicted to disrupt the aviation industry within the next 30 years.

Cleanhill’s Outside Counsel: Kirkland & Ellis led by corporate partners Shubi Arora and John Kaercher.

Notes: Kirkland’s Shubi also advised Cleanhill on its partnership with Kore Power, Inc., a U.S.-based developer of battery cell technology for the energy storage and electric transportation industries.

Landmark to sell gas station business to Shell

Deal Description: Shell Retail and Convenience Operations, a unit of Royal Dutch Shell’s Shell Oil Products US, agreed to buy a gas station and convenience store chain from Houston-based Landmark, whose convenience stores operate in Texas under the Timewise brand. Terms weren’t disclosed. The deal covers 248 company-owned fuel and convenience retail sites as well as supply agreements with an additional 117 independently operated sites. Shell said it will help to continue to expand its brand presence in the U.S.

Citizen Energy expands mid-continent footprint with acquisition

Deal Description: Willkie Farr & Gallagher said Nov. 4 that it represented Citizen Energy’s sponsor, Warburg Pincus, on its property acquisition in the mid-continent from an unnamed seller for a undisclosed sum. The purchase lies largely within Citizen’s existing footprint. Citizen said Oct. 11 the contiguous nature of the acquisition provides an ideal opportunity for infrastructure connectivity and development continuity.

DCP Midstream priced $400M offering of senior notes

Deal Description: DCP Midstream announced Nov. 4 the pricing of an offering by its unit DCP Midstream Operating of $400 million aggregate principal amount of 3.250% senior notes due 2032. The notes will be fully and unconditionally guaranteed by the partnership. The operating partnership intends to use the net proceeds to repay debt under its revolving credit facility and for general partnership purposes.

Expected Closing:  Nov. 19

Underwriters: J.P. Morgan Securities, Mizuho Securities USA, RBC Capital Markets, Barclays Capital Inc., Citigroup Global Markets Inc., MUFG Securities Americas Inc. and TD Securities (USA) are joint book-running managers; PNC Capital Markets, Regions Securities, SMBC Nikko Securities America and U.S. Bancorp Investments are co-managers.

VPE Holdings prices 20M shares of Vertiv in secondary offering

Deal Description: Digital infrastructure provider, Vertiv Holdings Co. announced Nov. 2 the pricing of a secondary offering of 20 million shares of the company’s Class A common stock. The stock is being offered by VPE Holdings, an affiliate of Los Angeles-based Platinum Equity, which will remain Vertiv’s largest shareholder after the sale. Vertiv went public in February 2020 via a merger with a Goldman Sachs sponsored SPAC, GS Acquisition Holdings. Ohio-headquartered Vertiv provides hardware, digital platforms and analytics as one of the major data center service providers in the world. At closing Nov. 1, Vertiv common shares were valued at $26.05.

Underwriters: J.P. Morgan Securities, Goldman Sachs and Citigroup are joint bookrunning managers.
