Strasburger, Andrews Kurth, V&E and Latham Close $825 Million Sale for Warren Equipment Company

By Natalie Posgate – (August 14) – Strasburger & Price recently closed a transaction for Midland-based Warren Equipment Company for the sale of its subsidiary, Compressor Systems, Inc., to Oklahoma City-based Compressco Partners, LP for $825 million.

Three other Texas law firms – Vinson & Elkins, Andrews Kurth and Latham & Watkins – were also involved in the deal.

Houston Strasburger partner W. Garney Griggs, the firm’s energy group leader, led the deal for Warren, with assistance from Dallas partners Luke Bailey, Thomas W. Burton and Patrick J. Larkin; Houston partners Crawford Moorefield, Steve Rubin and Jana Woelfel and associate Whitney Cox.

This is the first time Garney has advised Warren, but the company has been a long-standing client of Strasburger for non-transactional matters. Warren’s general counsel is Steve Lindgren, who led the in-house involvement of the deal.

Bass C. Wallace, Jr., the general counsel of The Woodlands-based TETRA Technologies, Inc. (Compressco’s parent company), turned to V&E and Andrews Kurth as legal counsel. Houston partners Ramey Layne and David Buck led the team for V&E and Andrews Kurth, respectively.

Houston Latham partner J. Michael Chambers represented Bank of America and Merrill Lunch, which served as financial advisors in the transaction.

The deal also included CSI’s subsidiaries: Compressor Systems de México, S. de R.L. de C.V.; Compressor Systems Australia Pty Ltd; Pump Systems International, Inc.; and Rotary Compressor Systems, Inc.
