TPG to Acquire Sabre Subsidiary for $1.1B

DFW-based travel reservations pioneer Sabre Corporation announced Monday that it has agreed to divest its SaaS platform Sabre Hospitality Solutions business to TPG for $1.1 billion.

The all-cash transaction establishes Hospitality Solutions as a standalone business, much as Sabre itself was established in 2000 as a standalone business by American Airlines, which founded the company in 1960.

According to Sabre, Hospitality Solutions provides registration and guest software for more than 40 percent of the world’s major global hotel brands.

Sabre, based in Southlake, intends to use cash proceeds from the sale to reduce debt and focus on its core businesses, including its B2B distribution business, which the company described as a “strategic area of investment” for Sabre.

Sabre says it will continue to provide some services to Hospitality Solutions even after the expected closing of the transaction in Q3 2025.

Outside legal advisors included Haynes Boone for Sabre and Davis Polk for TPG. Financial advisors included Evercore to Sabre and William Blair to TPG.

The Haynes Boone team was led from Denver by partner Dan Malone and associate Joshua Reisman. The M&A team also included associates  Ryan Ward (Dallas) and Ethan Moore (Dallas); partner Don Shiman (New York) and Associate Annie Lawson (Denver) advised on taxes; partners Susan Wetzel (Dallas) and Scott Thompson (Dallas) and associate Isabella Blanes (Dallas) counseled on employee Benefits and labor and benefits advice was provided by partner Raquel Alvarenga (Dallas) and associate Sean Lewis (Dallas).

Others include: partner Gavin George (Dallas) and associate Mallika Dargan (Dallas) on intellectual property; partners Paul Amiel (Dallas) and Mac Henry (Charlotte) on finance, along with associates Logan Weissler (Dallas) and Alexandria Pencsak (Dallas) on capital markets.

In 2005, Sabre purchased the core of its platform for Hospitality Solutions with its acquisition of SynXis for $40 million in cash.

Sabre has a long history with TPG. In 2007, the Texas Pacific Group and Silver Lake acquired Sabre in a take-private deal, then returned the company to public ownership in a 2014 IPO.
