V&E, Andrews and Norton Rose Fulbright Advise in Four-Way JV

(March 25) – Three energy companies and a garbage disposal company have announced that they will pursue a joint venture to develop gas-to-liquids plants in the United States, Canada, United Kingdom and China.
The first commercial facility that the four companies – Velocys plc; Waste Management, Inc.; NRG Energy, Inc; and Ventech Engineers International LLC – are targeting is a plant to be located at Houston-based Waste Management’s East Oak landfill site in Oklahoma. Detailed engineering for this first project is being completed, and final draft permitting documents for the facility have been submitted.
Vinson & Elkins is representing Velocys in the joint venture, which has offices in Houston, Ohio and the United Kingdom. Houston energy M&A partner Doug Bland leads the transaction, and he received assistance from Houston intellectual partner Peter Mims and Dallas tax partner Todd Way, as well as from Houston energy associate Mark Brasher and Dallas tax associate Julia Pashin.
Houston corporate M&A partner Dan Mark of Norton Rose Fulbright is advising Houston and New Jersey-based NRG and Austin corporate M&A partner Ted Gilman of Andrews Kurth represents Pasadena, Texas-based Ventech.
Attorneys from the Kansas City, Mo. office of Stinson Leonard Street are representing Waste Management in the transaction.
The joint venture will pursue the development of multiple plants utilizing a combination of renewable biogas (including landfill gas) and natural gas. Waste Management intends to supply renewable gas, and, in certain cases, project sites.
