HayBoo Closes Two Deals for Alta Mesa for $523 Million

(April 4) – It’s been a busy week for transactional lawyers at Haynes and Boone, who squared away two deals for Houston-based Alta Mesa Holdings, LP.

In one deal, Houston partner Bill Nelson and Dallas partner Vicki Martin-Odette led a successful effort for the oil and gas company to recapitalize a $350 million investment from Highbridge Principal Strategies, LLC.

Other members of the deal team included Houston partners Buddy Clark and Joe Vilardo, New York partner Sam Lichtman, Dallas associates Kindal Kreamer and Kristin Santamaria and Houston associate Kraig Grahmann.

Bracewell & Giuliani represented Highbridge in the transaction, which was led by Houston partners Alan Rafte, Stephanie Koo Song and Michael De Voe Piazza. Other attorneys involved in the deal included Houston partners John Brantley, Mark Holmes and Jason Jean; Houston associates Clay Brett, Rebecca Keep, Christopher Miller, Kristin Pearson and Zachary Ring; and attorneys from the firm’s New York office, including partner Elizabeth McGinley, the head of the firm’s tax practice.

In Haynes and Boone’s other deal, Clark helped subsidiary Alta Mesa Eagle LLC sell Eagle Ford oil and gas properties to Houston-based Memorial Production Operating LLC for $173 million. Houston associate Austin Elam was also involved in the transaction.

Houston partner Terry Radney of Locke Lord advised Memorial Production Partners.

The assets include interests in about 117 non-operated producing wells in the Eagle Ford Shale and interest in other undeveloped leasehold acreage in the area.
